COVID Action definition

COVID Action means any commercially reasonable actions that Seller or the Company reasonably determines are necessary or prudent for any Company Group member to take in connection with (a) the public health emergency, epidemic, pandemic, or disease outbreak caused by the COVID-19 virus or any variant or strain thereof, (b) reinitiating operation of all or a portion of the respective businesses of the Company Group members to the extent shut down or slowed down in response to the events referenced in clause (a) of this definition, (c) mitigating the adverse effects on the respective businesses of the Company Group members of the events referenced in clause (a) of this definition, (d) any customer request or any slow down or shut down in a customer’s business in response to the events referenced in clause (a) of this definition, and (e) protecting the health and safety of customers, employees and other business relationships and to ensure compliance with any Applicable Law, pronouncement or guideline issued by a Governmental Authority or order of any state Governor in which any Company Group member operates or where the Company Employees reside providing for business closures, “sheltering-in-place” in each case in response to the events referenced in clause (a) of this definition.
COVID Action means any actions that the Purchased Companies reasonably determine are necessary or prudent for the Purchased Companies to take in connection with events surrounding the coronavirus (COVID-19) pandemic or any mutation or variation of the SARS-CoV-2 virus (taking into account any “shelter-in-place” or similar order, directive, or recommendation issued by a Governmental Entity), including (i) shutting down, maintaining the closure of or reinitiating operation of all or any portion of the Real Property, as applicable, to the extent in accordance with or consistent with recommendations or restrictions imposed by the Centers for Disease Control and Prevention or any other Governmental Entity having jurisdiction over the applicable properties, (ii) mitigating the financial or other adverse effects of such events, pandemic or public health emergency on the business of one or more of the Purchased Companies, including any reduction-in-force, layoff, furlough or other program resulting in the termination, reduction in hours, or reduction in compensation of employees, consultants or other service providers (other than termination of individual employees, consultants or service providers in the Ordinary Course of Business) and (iii) protecting the health and safety of customers, suppliers, employees, consultants, service providers and other business relationships.
COVID Action means any actions that Seller reasonably determines are necessary for the Company to take to comply with any “shelter-in-place” or similar order or directive issued by a Governmental Entity in connection with or in response to the coronavirus (COVID-19) pandemic or any mutation or variation of the SARS-CoV-2 virus.

Examples of COVID Action in a sentence

  • Notwithstanding the foregoing, the Company and its Subsidiaries shall be permitted to take, and nothing in this Agreement shall prohibit the Company or its Subsidiaries from taking, any Company COVID Action.

COVID Action means any commercially reasonable action taken after the date hereof (i) that the Company reasonably determines to be necessary or prudent for the Company or its Subsidiaries to take in connection with (a) events surrounding any pandemic or public health emergency caused by COVID-19, (b) reinitiating operation of all or a portion of the Group Companies’ respective businesses, (c) mitigating the effects of such events, pandemic or public health emergency on the business of one or more of the Group Companies, or (d) protecting the health and safety of customers, employees, and other business relationships and to ensure compliance with any Legal Requirements and (ii) the Company shall keep Parent reasonably informed as to the actions taken or proposed to be taken and, where reasonably practicable, provide prior notice to the Parent and a reasonable opportunity to review and comment with respect thereto (and where such prior notice has not been provided, provide notice to Parent reasonably promptly thereafter), and consult with the Parent in good faith and consider in good faith any comments by Parent in connection therewith.
COVID Action means any commercially reasonable actions that Parent, Seller or the Company reasonably determine are necessary or prudent for Parent, Seller, the Company or any of their Subsidiaries to take in connection with (i) events surrounding any pandemic or public health emergency caused by COVID-19, (ii) limiting, ceasing or reinitiating operations, (iii) mitigating the adverse effects such events, pandemic or public health emergency on the business of Parent, Seller, the Company or any of their Subsidiaries, and (iv) protecting the health and safety of customers, employees and other business relationships, or to ensure compliance with any Law or the recommendations or restrictions imposed by the Centers for Disease Control and Prevention or any other governmental or quasi-governmental authorities having jurisdiction over Parent, Seller, the Company or any of their Subsidiaries or their properties.
COVID Action means any commercially reasonable action taken after the date hereof (i) that the Company reasonably determines to be necessary or prudent for the Company or its Subsidiaries to take in connection with (a) events surrounding any pandemic or public health emergency caused by COVID-19, (b) reinitiating operation of all or a portion of the Group Companies’ respective businesses, (c) mitigating the effects of such events, pandemic or public health emergency on the business of one or more of the Group Companies, or (d) protecting the health and safety of customers, employees, franchisees, and other business relationships and to ensure compliance with any Legal Requirements and (ii) which, with respect to actions that are material, the Company has informed, in reasonable detail, Parent of the necessity to take such action and, with respect to actions that would individually or in the aggregate result in the Final Merger Consideration being increased by $100,000 or more, has received the prior written consent of Parent.

Related to COVID Action

  • Specified Action has the meaning set forth in Section 3.4.2.

  • Prohibited Action means an action of the Client as defined under paragraph 10.1 of this Client Agreement. A Prohibited Action constitutes an event of Default giving the Company the right to take action under paragraph 14.2 of this Client Agreement.
