Deemed Price definition

Deemed Price of any Replacement Securities means the price set forth on Bloomberg L.P. or Tradeweb for any such Replacement Securities on the date and the time the hedge closeout transactions are entered into, subject to the Total Hedge Size.
Deemed Price means, for each VOD Included Program, the applicable amount set forth in the table below (it being agreed that the Deemed Price is applied for the purpose of calculating the VOD License Fees and is not intended to affect the Licensee’s determination of actual retail pricing), which such amount is exclusive of and unreduced by any tax, levy or charge, the payment of which shall be the responsibility of Licensee: Category Standard Definition Deemed Price Current Feature BRL 5.92 Library Feature BRL 3.35

Deemed Price with respect to:
Deemed Price means $0.35, being the deemed price per each New Bridgeport Share to be issued pursuant to the Arrangement.
