DG Party definition

DG Party means a Party that:
DG Party has the meaning ascribed to it in the preamble hereof.
DG Party means a Party that: (a) holds a Generation Licence; or (b) is engaged in the generation of electricity and is exempt from the requirement to hold a Generation Licence pursuant to Section 5 of the Act, and: (c) has one or more of its generating stations connected to the Distribution Network; and (d) does not hold a Distribution Licence, and, for the avoidance of doubt, a Party may be both a DG Party and a Supplier Party. Directive includes any present or future directive, requirement, instruction, direction or rule of any Competent Authority (but only, if not having the force of law, if compliance with the Directive is in accordance with the general practice of persons to whom the Directive is addressed) and includes any modification, extension or replacement thereof then in force. Disconnect means to permanently disconnect a Connection Point, Metering Point or Metering System in accordance with Section 17 of the Act (and cognate expressions shall be construed accordingly).

  • The Company and the other Shareholders shall be entitled to rely (without investigation) on any action taken by DG as being taken by DG for himself and on behalf of each DG Party, and fully authorized by each DG Party.

The proceeds of any award or claim for damages that are attributable to the impairment of Xxxxxx’s interest in the Property are hereby assigned and shall be paid to Lender. All Miscellaneous Proceeds that are not applied to restoration or repair of the Property shall be applied in the order provided for in Section 2.

  • Independent Party means, with respect to a BDC Downstream Fund, (i) if the BDC Downstream Fund has a board of directors (or the equivalent), the board or (ii) if the BDC Downstream Fund does not have a board of directors (or the equivalent), a transaction committee or advisory committee of the BDC Downstream Fund.

  • Confirming Party means the party designated in the Base Contract to prepare and forward Transaction Confirmations to the other party.

  • Aggrieved party means a party entitled to pursue a remedy.

  • Financing Party means any and all Persons, or the agents or trustees representing them, providing senior or subordinated debt or tax equity financing or refinancing (including letters of credit, bank guaranties or other credit support).

  • Billing Party means the Party rendering a bill.

  • FOIA Party means a Person that, in the reasonable determination of the Board of Directors, may be subject to, and thereby required to disclose non-public information furnished by or relating to the Company under, the Freedom of Information Act, 5 U.S.C. 552 (“FOIA”), any state public records access law, any state or other jurisdiction’s laws similar in intent or effect to FOIA, or any other similar statutory or regulatory requirement.

  • injured party means any person entitled to claim compensation in respect of any loss or injury caused by a vehicle;
