Disputes and Law. Governing Law Subject to the provisions of clause 32, the Parties accept the exclusive jurisdiction of the English Courts and agree that the Contract is to be governed and construed according to English Law. Dispute Resolution The Parties shall attempt in good faith to negotiate a settlement to any dispute between them arising out of or in connection with the Contract. If the dispute cannot be resolved by the Parties pursuant to clause 32.1 the dispute shall be referred to mediation as agreed by the parties unless: ‫‍the Authority considers that the dispute is not suitable for resolution by mediation; or the Contractor does not agree to mediation. ‫‍If the mediation is unsuccessful, then any dispute or difference between them may be referred to the courts. If the Parties reach agreement on the resolution of their dispute the agreement shall be reduced to writing and shall be binding. ‫‍ PRICING AND PAYMENT ‫‍ Definitions and Interpretations In these Conditions:

Disputes and Law. I1 Governing Law and Jurisdiction I1.1 Subject to the provisions of clause I2 (Dispute Resolution), the Contract shall be governed by and interpreted in accordance with English Law and shall be subject to the jurisdiction of the Courts of England and Wales. The submission to such jurisdiction shall not (and shall not be construed so as to) limit the right of the Authority to take proceedings against the Contractor in any other court of competent jurisdiction, nor shall the taking of proceedings in any other court of competent jurisdiction preclude the taking of proceedings in any other jurisdiction whether concurrently or not.
