EU Institutional Investor definition

EU Institutional Investor means an institutional investor as defined in the EU Securitization Regulation.
EU Institutional Investor has the meaning given to “institutional investor” under the Securitisation Regulation.
EU Institutional Investor means each of EU-regulated credit institutions, EU-regulated investment firms, certain alternative investment fund managers which manage and/or market alternative investment funds in the EU, EU regulated insurers or reinsurers, certain investment companies authorised in accordance with Directive 2009/65/EC, managing companies as defined in Directive 2009/65/EC, institutions for occupational retirement provision falling within the scope of Directive (EU) 2016/2341 (subject to certainexceptions), and certain investment managers and authorised entities appointed by such institutions subject thereto. Potential EU Institutional Investors should note that neither the issuer nor the seller or servicer is bound to comply with the requirements of the EU Securitisation Regulation unless it agrees to be so bound as a contractual matter. In this respect, the issuer may specify in the applicable final terms for any issuance of a series of notes that, in respect of such series of notes and for so long as such series of notes is outstanding, the seller will undertake to the issuer that it will (as originator for the purposes of Article 6(1) of the EU Securitisation Regulation) retain, on an on-going basis, a material net economic interest of not less than 5 per cent. in the nominal value of the securitised exposures as required by the text of Article 6 of the EU Securitisation Regulation (as in force at the date of this base prospectus) (the "EU Risk Retention Requirements") by way of a retention of the seller share of no less than 5% of the mortgages trust in accordance with Article 6(3)(b) of the EU Securitisation Regulation (as in force at the date of this base prospectus) as though Article 6 of the EU Securitisation Regulation (as in force at the date of this base prospectus) applied to the programme (the "EU Risk Retention Undertaking"). EU Institutional Investor means a Person that is an institutional investor for the purpose of the EU Securitisation Regulation, as determined by such Person in its sole discretion, from time to time.
EU Institutional Investor. An investor in the Secured Debt that is subject to regulation under the EU Securitization Regulation from time to time or party to liquidity or credit support arrangements provided by a financial institution that is subject to the EU Securitization Regulation.
