If Service Provider uses a proprietary communications network to provide the Services, then for a period of up to two (2) years following the effective date of the relevant Assistance Event, Service Provider shall, if requested by DIR, continue to provide such proprietary communications network and other network Services to DIR, the DIR Customers and/or their designee at the rates, and subject to the terms and conditions, set forth in this Agreement.

In the event of a termination of this MSA pursuant to Section 16.4 (Events of Default by Service Provider) [other than Section 16.4.7 (Force Majeure)] or Section 16.6 (Termination for an Insolvency Event), if the situation involves a Service Provider Insolvency Event, Service Provider will be responsible for the costs of Termination Assistance as more fully described in Schedule P (Termination/Expiration Assistance).

Where applicable for Specialty Booths of the Event, Company must adhere to all posted participation requirements outlined in the HIMSS Event Service Manual.
In a Force Majeure Event, Service Provider may reduce or eliminate its Services under this Agreement without obligation to Customer during the period of the Force Majeure Event except that Service Provider’s reduction or elimination of Services to Customer shall be the same as any reduction or elimination of services relating to Service Provider’s internal capacity and to Service Provider’s other customers or Affiliates.
