Factoring Documents definition

Factoring Documents means, collectively, this Agreement and any other agreements, instruments, certificates or other documents entered into in connection with this Agreement, including collateral documents, letter of credit agreements, riders covering inventory or other loans, security agreements, pledges, guaranties, mortgages, deeds of trust, assignments and subordination agreements, and any other agreement executed by Client, any guarantor or any affiliate of Client or any guarantor pursuant hereto or in connection herewith.

Factoring Documents means, collectively, all of the agreements, documents and instruments related to the sale by a Borrower or Guarantor of Specified Factored Accounts in accordance with Section 8.2.7(vi) [Disposition of Assets or Subsidiaries].

Factoring Documents means (i) the Factoring Agreement and (ii) the Intercreditor Agreement, including any amendment agreements and supplemental and/or other related agreements and/or documents to the agreements herebefore.

Examples of Factoring Documents in a sentence

• The Lender reserves the right to terminate, withhold or withdraw the Facility irrespective of whether or not the Borrower has fulfilled the conditions precedent stated above or the Borrower has breached any of the terms and conditions of the Factoring Documents.

• The Borrower agrees and declares it a condition of the Factoring Documents that it shall submit offers to the Lender in respect of all invoices of its Customers as and when such invoices come into existence.

• The Lender may at any time assign to any one or more persons, firm or Borrower all or any part of the Lender’s rights, powers and benefits under the Factoring Documents without the consent of or reference to the Borrower and upon such assignment all the Lender’s rights, powers and benefits under the Factoring Documents shall inure to the benefit of the assignee.

• As of April 29, 2004, the outstanding Accounts in respect to the obligations of Seller to Purchaser under the Domestic Factoring Agreement was $1,476,177.21 plus attorneys fees incurred by Purchaser in connection with Seller’s default under the Factoring Documents.

• Any notice or request under the Factoring Documents shall be given to any party to the Factoring Documents at the party’s place of business or registered office or last known address, or at such other address as such party may specify in a notice given in the manner required under this Clause 26 (Notices).

More Definitions of Factoring Documents

Factoring Documents means this Agreement, together with any documents, instruments and agreements, executed and/or delivered in connection herewith, as the same now exist or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.

Factoring Documents means, collectively, all of the agreements, documents and instruments related to the sale by any Borrower of Specified Factored Accounts in accordance with Section 9.7(b)(xi) hereof.

Factoring Documents. That certain Purchase and Sale Agreement between Factor and Borrower dated January 11, 2016 (as amended or extended), and all documents executed in connection therewith, or any other factoring or accounts receivable financing agreement or related documents executed by Borrower and Factor.

Factoring Documents means the Factoring Agreement and all other instruments and documents heretofore or hereafter executed or delivered to or in favor of BNYFC in connection with the Accounts factored and transactions contemplated under the Factoring Agreement, as the same may be amended, modified or supplemented from time to time.
