Involvement with the Company definition

Involvement with the Company means holding a position as an employee, officer, or director with either the Company or any of its subsidiaries or affiliates. "Confidential Information" means Company information that is material to the Companies' business and that is not generally known by, or made available to, the public and shall include, without limitation, information regarding: • "Trade Secrets" (as defined below) or proprietary information; • strategic sourcing information or analysis; • patents, patent applications, developmental or experimental work, formulas, test data, prototypes, models, and product specifications; • accounting and financial information; • financial projections and pro forma financial information; • sales and marketing strategies, plans and programsproduct development and product testing information; • product sales and inventory information; • personnel information, such as employees' and consultants' benefits, perquisites, salaries, stock options, compensation, formulas or bonuses; • organizational structure and reporting relationships; • business plans; • names, addresses, phone numbers of customers; • contracts, including contracts with clients, suppliers, independent contractors or employees; business plans and forecasts; • existing and prospective projects or business opportunities; and • passwords and other physical and information security protocols and information. "Trade Secrets" includes any information that derives independent economic value, actually and potentially, from not being generally known to, and is not readily being ascertainable by proper means by, other persons who may obtain economic value from their disclosure or use and that are the subject of efforts that are reasonable under the circumstances to maintain their secrecy.

Examples of Involvement with the Company in a sentence

  • Executive shall not disclose or use at any time, either during his employment or after his employment ends for any reason, any Confidential Information (as defined below) of the Company, whether or not patentable, that Executive learns as a result of his Involvement with the Company, whether or not he developed such information.

  • The Employee shall not disclose or use at any time, any Confidential Information (as defined below) of the Company, whether or not patentable, which he learned as a result of his Involvement with the Company, whether or not he developed such information.

  • On and from 3Qth April, 2019, I have ceased all communication and Involvement with the Company.


More Definitions of Involvement with the Company

Involvement with the Company for purposes of this Agreement shall mean holding "a position as an employee or any other position with either the Company or any of its affiliates.

Related to Involvement with the Company

  • FIDIC means the Fédération Internationale des Ingénieurs-Conseils, the international federation of consulting engineers.

  • Advocate means a person other than paid staff who has been selected by the individual or by the individual's legal representative to help the individual understand and make choices in matters relating to identification of needs and choices of services, especially when rights are at risk or have been violated.

  • Financial Services Provider means any Lender and any other provider of financial services or products;

  • Regulatory Services Provider means the organization which provides regulatory services to BSEF pursuant to a Regulatory Services Agreement.

  • Servicer Affiliate A Person (i) controlling, controlled by or under common control with the Servicer or which is 50% or more owned by the Servicer and (ii) which is qualified to service residential mortgage loans.

  • Data Provider means a Participant that is registered to provide information to GS1 South Africa for use through the Verified by GS1 Services.

  • PMI means the default insurance provided by private mortgage insurance companies.

  • Services Provider means Owl Rock Capital Corporation, or any successor in such capacity in accordance with the Corporate Services Agreement.

  • Corporate Services Provider means Computershare Trust Company of Canada, a trust company formed under the laws of Canada, as corporate services provider to the Liquidation GP under the Corporate Services Agreement, together with any successor corporate services provider appointed from time to time;

  • Employed by, or provide service to, the Company means employment or service as an employee or director of the Company.

  • Hub Provider means an entity that (i) provides Common Channel Signaling (SS7) connectivity between the networks of service providers that are not directly connected to each other; or (ii) provides third party database services such as LIDB. The SS7 messages received by Hub Providers are accepted or rejected by the Hub Provider depending on whether a contractual arrangement exists between the Hub Provider and the message originator (sender) and whether the message originator has contracted for the type of SS7 messages being submitted for transmission to the Hub Provider.

  • New Provider means any replacement service provider or providers engaged to provide the Services (or part thereof) or substantially similar services or the Authority itself where the Services or substantially similar services or part thereof continue to be provided by the Authority after partial termination, termination or expiry of this Contract;

  • Coordinator means the person designated by Canada to act as the Dispute Resolution Coordinator.

  • Mental health services provider means an individual, licensed or unlicensed, who performs or purports to perform mental health services, including a:

  • central counterparty means a CCP as defined in point (1) of Article 2 of Regulation (EU) No 648/2012;

  • ProviderOne or “P1” means the system commonly referred to as the Medicaid Management Information System (MMIS), and is the federally approved system used by the Washington Medicaid program to pay provider claims for goods and services authorized under the State Plan. The MMIS is certified by CMS and is the primary information system used by HCA to pay for health care.

  • Assist means to act, or offer or agree to act, in such a way as to help, represent, aid, advise, furnish information to, or otherwise provide assistance to a person or business entity, believing that such action is of help, aid, advice, or assistance to such person or business entity and with the intent to assist such person or business entity.
