IRB Documents definition

IRB Documents means the Trust Indenture dated as of June 1, 1987 between the Decatur County-Bainbridge Industrial Development Authority, as Issuer, and Trust Company Bank, as Trustee, and the other documents and instruments executed and delivered pursuant to, or in connection with, such Trust Indenture, as the same may be amended, restated or otherwise modified from time to time.

IRB Documents as defined in Section 10.2.1(l). IRS: the United States Internal Revenue Service. Issuing Bank: (i) Bank of America or an Affiliate of Bank of America and (ii) solely with respect to certain Existing Letters of Credit and the Continuing Letters of Credit, Comerica Bank and JPMorgan Chase Bank, N.A.

• The Developer and City will execute a recordable release of this Agreement as to each Phase once Final Completion has occurred and the IRB Documents applicable to such Phase have been fully executed.

IRB Documents means, collectively, the Bond Purchase Agreement, the Indenture, the Sublease and all agreements, documents or instruments at any time executed and/or delivered by Contract or any other Borrower, Guarantor or other Person with, to or in favor of Bond Issuer or Bond Trustee in connection therewith or related thereto, as the same now exist or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.

IRB Documents as defined in the Holdings Operating Agreement.

IRB Documents means all agreements, instruments and other documents executed in connection with the following Industrial Development Revenue Bonds issued by the Borrower: (i) 1997 Series A Corinth Bonds issued by the Mississippi Business Finance Corporation due December 31, 2021, with a current principle balance of $6,405,488.76 as of the Closing Date, (ii) 1997 Series B Corinth Bonds issued by Mississippi Business Finance Corporation due May 1, 2007, with a current principal balance of $5,308,211.81 as of the Closing Date, (iii) Douglas-Coffee Series 1995 Bonds issued by the Douglas-Coffee Xxxxxxxial Authority due December 1, 2010, with x xxxxent principal amount of $36,627,976.73 as of Closing Date, (iv) Dunlap Series 1988 Bonds issued by the Industrial Development Board of the City of Dunlap, Tennessee due December 31, 2007, with a current princixxx xxount of $7,000,000, (v) 1996 Tupelo MS Series A Supplemental Bonds issued by the Mississippi Business Finance Corporation due August 1, 2006, with a current principal amount of $1,514,650.11,

IRB Documents shall have the meaning given to such term in Section 4.26(b).

IRB Documents means the following documents comprised within the IRB-Related Obligations:

IRB Documents means (i) this Agreement; (ii) the trust agreement of Sublessor; (iii) the trust agreement of TBC Trust; (iv) the Lease Assignment; and (v) the Pledge (as defined in the trust agreement of Sublessor); "IRB Transactions" means the occurrence of (a) the formation of the Trusts and the execution of the trust agreements of each of the Trusts and the issuance of the Transferred Assets Ownership Class (as defined in the trust agreement of Sublessor), (b) the assignment to Sublessor, pursuant to the Lease Assignment, of the leases, bonds and assets identified therein, (c) the valid execution and delivery of the IRB Documents and (d) the consummation of the other transactions contemplated by the IRB Documents; and "Boeing IRB Documents" means collectively the Lease Agreement, the Guaranty and the Indentures governing the Bonds.
