Knowledge of the Companies definition

Knowledge of the Companies means the actual knowledge, after reasonable inquiry, of Xxxxx X. Xxxxxxx, Xxxxxx X. Xxxxxxx, Xxxxx Xxxxxxx, Xx. Xxxxxx Xxxxxx, Xxxxxx Xxxxxxxx, Xxxx Xxxxxxxxx, Xxxxx X’Xxxxxxx or Xxxxxx Xxxxxxxx.

Knowledge of the Companies means the actual knowledge of any of the following personnel of the Companies within the scope of their employment responsibilities and following reasonable inquiry and investigation: Xxxxx Xxxx, Xxxx Xxxx, Xxxx XxXxxxxx and Xxxxxx Xxxx.

Knowledge of the Companies means the actual knowledge of those persons listed on Section 1.01(a) of the Company Disclosure Schedules, in each case, after making reasonable inquiry with such person’s direct reports or employees having responsibility relating to the relevant matter.

Examples of Knowledge of the Companies in a sentence

• The Companies shall promptly advise GSL of any Proceeding commenced or, to the Knowledge of the Companies, threatened against or involving any of the Companies or any of their respective officers or managers, relating to this Agreement or the transactions contemplated hereby and shall keep GSL informed and consult with GSL regarding the status of the Proceeding on an ongoing basis.

• Except to the extent set forth in any Franchise Agreement, no Company has waived enforcement of any non-compete restriction under any Franchise Agreement, and, to the Knowledge of the Companies, no current Franchisee is currently in violation of any non-compete covenant under any Franchise Agreement.

• Since the Reorganization Plan Confirmation Date, the Companies have consistently enforced the terms of the Franchise Agreements against all Franchisees in all material respects, including, to the Knowledge of the Companies, enforcement of any material violations of the operating standards set forth in the operations manuals of the Companies.

• Except as set forth on Schedule 3.7, since January 1, 2016 there has not been, and currently there is no, Proceeding pending or, to the Knowledge of the Companies, threatened against any Company or any of the Companies’ properties, assets or officers or directors (in their capacities as such) and, to the Knowledge of the Companies, there are no existing facts or circumstances that would reasonably be expected to result in such a Proceeding in either case.

• Except as set forth on Schedule 3.13, to the Knowledge of the Companies, no such Proceeding has been threatened.

More Definitions of Knowledge of the Companies

Knowledge of the Companies. (and any similar phrases as they relate to the Companies) means the existing actual knowledge of Xxxx Xxxxxx, X.X. Fair, Xxxxx Xxxxxxx, Xxxxx Xxxxxx, Xxxx Xxxxxx and Xxxxxx Xxxxxxx.

Knowledge of the Companies means the actual knowledge of each of Rxxxxx and Gxxxxxxxx.

Knowledge of the Companies or any similar phrase means the actual knowledge of the following persons: Georgios Giouroukos and Anastasios Psaropoulos.

Knowledge of the Companies and correlative phrases such as “the Companies’ Knowledge” means the actual and constructive knowledge of the Majority Shareholders and each officer of the Companies after reasonable inquiry.

Knowledge of the Companies means the actual knowledge or awareness of the following Persons and, with respect to all of the following Persons except Xxxxxx X. Xxxxx, Xxxxx X. Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx X. Xxxxxxx, matters which such Person should have known after due inquiry: Xxxxxxx X. Xxxxxxxxx, Xxxxx X. Xxxxxxxx, Xxxx X. Xxxxx, Xxxxxx X. Xxxxxxx, Xxxxx X. Xxxxxx, J. Xxxxx Xxxxxxxx, Xxxxx Xxxxxx, Xxxxxxx Vanden Xxxxx, Xxxx Xxxxxxx, Xxxxxx X. X’Xxxx, Xxxxxx X. Xxxxxxxx, Xxxxx X. Xxxxxxxx, Xxxx Xxxxxxx, H. Xxxxxxx Xxxxx, Xxxxxxx X. Xxxx, Xxxxxx X. Xxxxx, Xxxxx X. Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx X. Xxxxxxx.

Knowledge of the Companies means the knowledge of any director or executive officer of the Companies and those individuals identified on Section 11.7(a) of the Company Disclosure Letter, after due inquiry;

Knowledge of the Companies. “to the Companies’ Knowledge” or similar phrases means the actual knowledge of Xxxxx Xxxxxxxxx, Xxxxxxx Xxxxxx, Wm. Xxxxx Xxxxxx or Xxxxxx Xxxxxxxx, after inquiry of other employees, if any, of the Latisys Companies who the foregoing reasonably determine may have actual knowledge of the subject matter in question.
