Lease License definition
Lease License means a license of short-term duration (often a year). The specific license term of any Lease License acquired by Customer shall be set forth in the Order Schedule, subject to termination as set forth in this Agreement (and auto-renewal, if any, as set forth in the applicable Order Schedule). Unless otherwise stated in the Order Schedule, for a Lease License, Maintenance during the license term is included in the Lease License fee.
Lease License means a license which has a License Term commencing on the Effective Date of Program(s) and limited in duration for a specified period of time, or if not specified, for a period of one year, and which may renew pursuant to this Agreement.

In the event a Lease License is terminated prior to the end of the term, no refund will be due to Licensee for any portion of the prepaid Lease License fee.

Lease Licenses that do not automatically renew but that are purchased in the same configuration within three (3) months of the expiration date of the Lease License shall not require a new License Form to be signed for such Lease License(s) as the terms of this Agreement will be deemed to continue to apply from the start date of such Lease License(s).
Assignor agrees to fully, completely and unconditionally indemnify and hold Assignee harmless from and against all claims, losses, expenses, liabilities, damages, including without limitation, interest and penalties, attorneys’ fees, and all amounts paid in settlement of any claim, that may be asserted against Assignee, or which Assignee may incur or suffer and that arise under a Third Party Lease, License or Contract prior to the date of closing of the transaction contemplated in the Agreement.
In case of a Lease License, MSC is not responsible for initial defects of the Software under the liability regardless of negligence or fault, pursuant to § 536a paragraph 1 BGB.
