Lessee Group definition
Lessee Group means together the Lessee Parent and each of its Subsidiaries from time to time and for the purposes of "Annual Financial Statements" and "Quarterly Financial Statements" (and the expression "Lessee Group" where used in such definitions) any company or entity whose accounts are to be consolidated with those of the Lessee Parent in accordance with Relevant GAAP shall be treated as a Subsidiary of the Lessee Parent;

For this purpose of this Agreement, the term “Gross Negligence” shall be defined to mean such lack of care by a party or a person as to indicate a conscious indifference and reckless disregard for the safety of people and property. For the purpose of this Agreement, the phrase “Regardless of Fault” shall mean without regard to the cause(s) thereof including, without limitation, preexisting conditions, imperfection of material, defect or failure of equiptment, ultra hazardous activity, strict liability, breach of statutory duty, breach of safety requirement or the negligence of any party or parties (including the negligence of the indemnitee, Bal Harbour Group), whether such negligence be sole, joint, contributory, or concurrent, active or passive, but expressly not including Gross Negligence or willful misconduct. In the event any provision of this Contract is inconsistent with or contrary to any applicable federal, state or local law, rule or regulation, said provision shall be deemed to be modified to the extent required to comply with said law, rule or regulation, and as so modified said provision and this Contract shall continue in full force and effect.
Lessee Group means, collectively, AAB, Thai AirAsia Co., Ltd., AirAsia Philippines Inc., AirAsia (India) Limited and PT Indonesia AirAsia.
Lessee Group shall have the meaning specified in Section 3(b) of the Tax Indemnity Agreement.
Lessee Group means, one or more Lessees identified as such by the Servicer by reference to the same client group code.
