Licensed Software Materials definition

Licensed Software Materials means the Software and the Program Documentation;
Licensed Software Materials means all copies of (if any) modifications to the Licensed Software and all manuals, data and other materials used by the Business in relation to the Licensed Software, in whatever format and on whatever media.
Licensed Software Materials means any materials related to the Licensed Software and provided by JCI hereunder for use in connection with the Licensed Software.

  • The Government agrees that if the Licensed Software Materials are supplied to the Department of Defense (DoD), Government is acquiring only "restricted rights" in the Licensed Software Materials as that term is defined in Clause 52.227-7013(c)(1) of the DFARS.

  • Licensee acknowledges that the Licensed Software Materials are subject to export controls imposed by the U.S. Export Administration Act of 1979, as amended (the "Act"), and the regulations promulgated thereunder.

  • All Maintenance Deliverables will be part of the Licensed Software Materials and subject to the terms and conditions of this Agreement.

  • Licensee agrees and certifies that neither the Licensed Software Materials nor any direct product thereof is being or will be acquired, shipped, transferred or reexported, directly or indirectly, into any country prohibited by the Act and the regulations thereunder or will be used for any purpose prohibited by the same.

  • Lighting Analysts warrants against defects in the features described in the Licensed Software Materials for a limited time period of thirty (30) days after the Licensed Software is made available to Customer by Lighting Analysts and payment in full has been received by Lighting Analysts.

  • Licensee agrees to provide prompt notice to TALARIAN if Licensee moves the Licensed Software Materials to a location other than the location designated in TALARIAN's sales order acknowledgement or invoice.

  • Upon termination Licensee agrees to return to TALARIAN the Licensed Software Materials together with all copies, modifications and merged portions thereof or destroy the same and provide written certification to TALARIAN that Licensee has done so.

  • Licensee may terminate this Agreement at any time by destroying the Licensed Software Materials and all copies thereof.


More Definitions of Licensed Software Materials

Licensed Software Materials in this Agreement shall also mean any machine-readable or printed material not included in the Licensed Software and which is designated by The Library Corporation as available under license to libraries who have licensed the program to which those materials relate, including documentation of the System.

Related to Licensed Software Materials

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Supplier Materials has the meaning given in clause 8.1(h).

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Supported Software means the supported software identified in the Proposal. System means the designated information technology environment in which the Software is to be used. Term means the term of this Agreement specified in clause 2.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Licensed Data means the data licensed by the LME to the Licensee set out in the Order Form and further defined in Schedule 1 (Licensed Data);

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • Customer Software means software which is owned by or licensed to the Customer, including Specially Written Software and Assigned Software and software which is or will be used by the Supplier for the purposes of providing the Services but excluding the Supplier Software;

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.
