Line of Business Financial Threshold means, for each of the highest-level business units of the Firm (e.g., Investment Bank, Asset Management), the financial threshold applicable under certain 2012 restricted stock unit awards granted to individuals designated as “Tier 1.” Unless otherwise specified, the applicable financial threshold will be negative annual pre-provision net income. “Not-for-Profit Organization” means an entity exempt from tax under state law and under Section 501(c)(3) of the Code. Section 501(c)(3) includes entities organized and operated exclusively for religious, charitable, scientific, testing for public safety, literary or educational purposes, or to xxxxxx national or international amateur sports competition or for the prevention of cruelty to children or animals. “Recognized Service” means the period of service as an employee set forth in the Firm’s applicable service-related policies.

Related to Line of Business Financial Threshold

  • Ownership Threshold means, with respect to any Person, Beneficial Ownership of the GREATER of (A) 15% of the Common Shares at any time outstanding or (B) the percentage of the outstanding Common Shares Beneficially Owned by such Person on the date of this Rights Agreement, plus in the case of this clause (B) 1% of the Common Shares outstanding on such date.

  • Bid threshold means the dollar amount set in N.J.S.A. 18A:18A-3, above which a Board shall advertise for and receive sealed bids in accordance with procedures set forth in N.J.S.A. 18A:18A-1 et seq.

  • Expansion Capital Expenditures means cash expenditures for Acquisitions or Capital Improvements. Expansion Capital Expenditures shall include interest (including periodic net payments under related interest rate swap agreements) and related fees paid during the Construction Period on Construction Debt. Where cash expenditures are made in part for Expansion Capital Expenditures and in part for other purposes, the General Partner shall determine the allocation between the amounts paid for each.

  • Permitted Capital Expenditures has the meaning given that term in Section 9.12(b).

  • Threshold means, with respect to Party B and any Valuation Date, infinity.
