Extended Application Monitoring is a feature of AppChoice(SM) Managed Hosting Services that provides additional monitoring capabilities beyond the Customer's Foundation Monitors and manages the resultant event responses.
WorldCom shall provide Digex with rolling monthly forecasts of projected revenue from sales of Managed Hosting Services, and forecasts of capacity needs by data center and product type.
All AppChoice(SM) Managed Hosting Services Customers will receive a set of Foundation Monitors and corresponding data center responses to manage critical events.
WorldCom shall not, and shall not permit others to, modify or decompile any Digex Intellectual Property, make derivative works thereof, or transfer, assign or sublicense the Digex Intellectual Property to any third party, except to the extent of the express license granted herein with respect to the use of Managed Hosting Services by WorldCom and its Customers.
Except as provided herein, this Agreement supersedes any prior understanding between WorldCom and Digex concerning the Managed Hosting Services MOA.
This notice will include the reason for the system outage and estimated time for restoration of Managed Hosting Services if Blackboard knows this information when it gives this notice.
In the event that Customer desires to receive Managed Hosting Services in addition to the particular services specified in the table above, including, by way of example, incremental storage capacity and/or additional bandwidth capacity and/or higher Active User Capacity, Customer may submit a written and executed purchase order requesting such additional Managed Hosting Services.
This Agreement contains the entire arrangement between WorldCom and Digex with respect to the distribution of Managed Hosting Services.
The AppChoice(SM) Platform is the hardware and software platform on which the AppChoiceSM Managed Hosting Services run.
It is agreed and acknowledged that the service credits referred to in Exhibit B shall be Customer’s sole remedy, and Blackboard’s sole obligation, with respect to failures of the Managed Hosting Services to meet the technical specifications and performance parameters set forth in Exhibit B.
