Management Option Shares means the shares of the Common Stock of the Holding Company to be reserved for issuance by the Holding Company pursuant to Section 22.2. "Material Adverse Effect" shall mean a material adverse change in the business, assets, rights, properties, liabilities, financial condition or prospects of a Person.

• Executive's obligations under the Option Note will be secured by a pledge of all of the Management Option Shares, and in connection therewith Executive will enter into a pledge agreement in the form of Exhibit H attached hereto.
