Ongoing business means an existing business that for at least six months prior to the offer, has been operated from a specific location, has been open for business to the general public, and has substantially all of the equipment and supplies necessary for operating the business.
Ongoing business means the continuation of the Business after the Closing during the Earnout Period in substantially the same manner as the Business was conducted prior to the Closing, subject to changing business necessity and conditions as determined in the reasonable judgment of the Active Shareholders.
