Each of Abbott and its Affiliates has valid title to, or valid leasehold or sublease interests or other comparable Contract rights in or relating to, all of its Owned Business Real Property or Leased Business Real Property, as applicable, and other tangible Purchased Assets, except as have been disposed of in the ordinary course of business and except for Permitted Encumbrances.
All of the real property, land, buildings, structures and other improvements used primarily in the conduct of the Business, other than in any event the Grove Real Property, are included in the Owned Business Real Property and the Real Property Business Leases.

Except as set forth in Section 4.11(c) of the Seller Disclosure Schedule, and except for the Permitted Encumbrances, no third party has any rights to occupy or otherwise use any portion of the Owned Business Real Property and/or the Leased Business Real Property.
