Owned Business Real Property definition

Owned Business Real Property means, collectively, each parcel of Owned Real Property (other than the Manufacturing Facilities) that is used primarily in the Business; provided that Owned Business Real Property shall not include Retained Real Property.

Owned Business Real Property means all the Real Property in which Guidant, any Asset Seller or Transferred Subsidiary has fee title (or equivalent) interest described on Schedule 1.01(c) that are acquired, directly or indirectly, by the Purchasers by the way of a Share purchase or as a Purchased Asset pursuant to the transactions contemplated by this Agreement.

Owned Business Real Property means all owned real property owned by the Seller Group as set forth in Section 1.01(e) of the Disclosure Schedule.

Examples of Owned Business Real Property in a sentence

• Each of Abbott and its Affiliates has valid title to, or valid leasehold or sublease interests or other comparable Contract rights in or relating to, all of its Owned Business Real Property or Leased Business Real Property, as applicable, and other tangible Purchased Assets, except as have been disposed of in the ordinary course of business and except for Permitted Encumbrances.

• All of the real property, land, buildings, structures and other improvements used primarily in the conduct of the Business, other than in any event the Grove Real Property, are included in the Owned Business Real Property and the Real Property Business Leases.

• None of Parent or any Asset Seller or Transferred Subsidiary has assigned, leased, subleased, licensed, transferred, conveyed, mortgaged, or encumbered its interest (other than Permitted Title Encumbrances) in any of the Leased Business Real Property or the Owned Business Real Property, except as set forth on Section 3.11(e) of the Seller Disclosure Schedule.

• The use and operation of the Real Property in the conduct of the Business as currently conducted does not violate in any material respect any instrument of record or agreement affecting the Owned Business Real Property or the Leased Business Real Property.

• Except as set forth in Section 4.11(c) of the Seller Disclosure Schedule, and except for the Permitted Encumbrances, no third party has any rights to occupy or otherwise use any portion of the Owned Business Real Property and/or the Leased Business Real Property.

Owned Business Real Property means all Real Property that (a) is used primarily in the Business and (b) is owned by any of the Seller Companies or any of their Affiliates.
