Preliminary Activities definition

Preliminary Activities means those research and development activities set forth in the Project Plan annexed hereto as Exhibit A, which have been or are to be performed by FRESENIUS in order to develop the Products and to supply TRANSMEDICS with the Development Deliverables and may be amended from time to time by the mutual written agreement of the Parties.
Preliminary Activities means entering into contracts, ordering materials, planning, environmental impact assessment work and other similar or associated preparation activities that do not involve physical impact to the Contract Area.
Preliminary Activities means the activities set forth on Exhibit D.

Examples of Preliminary Activities in a sentence

  • To the extent that the Preliminary Activities are not completed by the date set forth in the Project Plan, the Parties agree to meet and discuss in good faith strategies for completing the Preliminary Activities as quickly as possible.

  • In the course of such Preliminary Activities, FRESENIUS shall evaluate a composition for the Products as determined by TRANSMEDICS for overall feasibility, mainly with regards of manufacture of the Products.

  • FRESENIUS shall use its best efforts to complete the Preliminary Activities within said estimates set forth in Exhibit F, however, TRANSMEDICS understands and agrees that Exhibit F merely contains estimates.

  • Pursuant to the terms of this Agreement, TRANSMEDICS hereby commissions FRESENIUS to perform the Preliminary Activities described in more detail in Article 3 and the Appendices referred to in Article 3.

  • The Parties foresee that these Preliminary Activities may lead to amendments and modifications of the composition.

  • FRESENIUS shall inform the TRANSMEDICS Liaison of all material internal discussions, meetings and correspondence (including e-mail) relating to the Preliminary Activities.

  • Preliminary Activities to be conducted by each Party between the Effective Date and the Closing Date (the “Preliminary Work Plan”).

  • Neither Party will use any non-employees to perform any of the Preliminary Activities without the advance written approval of the Steering Committee.

  • During the Term and for two years thereafter, each Party shall, and shall cause its Affiliates to, maintain all books and records reasonably related to the costs or expenses incurred in connection with the FEED Engineering Activities and the Preliminary Activities.

  • Subject to the terms and conditions of this Agreement, each Party hereby grants a non-exclusive, worldwide, royalty-free license under the Background Technology of such Party to the other Party and its Affiliates, solely as reasonably necessary for such other Party and its Affiliates to conduct its activities contemplated under this Agreement, including the Preliminary Activities and the FEED Engineering Activities.
