PRIME CONTRACTOR RESPONSIBILITY. The contractor will be required to assume prime contractor responsibility for the contract and will be the sole point of contact with regard to all commodities, services and support. The prime contractor may delegate facilitation of contract orders to their “Authorized/Certified Dealers” only. This delegation will in no way relieve the contractor of any contractual obligations set forth in this Contract Award.

PRIME CONTRACTOR RESPONSIBILITY. Any contract that may result from this RFP shall specify that the prime contractor is solely responsible for fulfillment of any contract with an agency which may derive from this RFP. The agency hiring a vendor from the contract will make payments only to the prime contractor.
PRIME CONTRACTOR RESPONSIBILITY. Contractor understands and accepts full responsibility for all requirements and deliverables defined in this Agreement. Contractor warrants it: 12.1.1. Has read and agrees with the specifications contained in the Scope of Services (Exhibit A); 12.1.2. Fully understands the facilities, difficulties, and restrictions attending performance of the services; and 12.1.3. Contractor agrees to inform City of any unforeseen conditions which will materially affect performance of the work within 45 days of the execution of this Agreement and shall not proceed until written instructions are received from City.
PRIME CONTRACTOR RESPONSIBILITY. The Successful Vendor will be required to assume prime contractor responsibility for the Contract and will be the sole point of contact. The Task Force reserves the right to interview the key personnel assigned by the Successful Vendor to this project and to recommend or require reassignment of personnel deemed unsatisfactory by the Task Force. The Task Force reserves the right to approve subcontractors for this project and require primary contractors to replace subcontractors that are found to be unacceptable. If any part of the work is to be subcontracted, the Vendor must disclose the same information for the subcontractor as for itself. Responses to this RFP must include a list of subcontractors, including firm name and address, contact person, complete description of work to be subcontracted, and descriptive information concerning subcontractor’s business organization.
PRIME CONTRACTOR RESPONSIBILITY. The Contractor shall be the Prime Contractor under this Agreement, and shall be the sole point of contact with the State in regard to all contractual matters, including the performance of services, reporting, issuance of invoices, and the payment of any and all charges resulting from contractual obligations. The Prime Contractor may enter into subcontracts with third parties, including subcontractors, consortium members, and service providers, for the performance of any part of Contractor's duties and obligations, provided, that in no event shall the existence of the subcontract operate to release or reduce the liability of Contractor to the State for any obligations under this Agreement or breach in the performance of Contractor's duties. All subcontractors shall be agents of the Contractor for the purposes of this Agreement and the Contractor shall hold the State harmless hereunder for any loss or damage of any kind occasioned by the acts or omissions of the Prime Contractor's subcontractors, their agents or employees. Copies of Prime Contractor’s subcontracts with third parties may be requested by the State.

If any part of the work must be subcontracted, vendor should include a list of subcontractors, including firm name and address, contact person, complete description of work to be subcontracted, and descriptive information concerning subcontractor’s organizational activities in their technical proposal response. The vendor shall not assign this contract in whole or in part or any payment arising there from without the prior written consent of the hiring agency. The vendor shall give OSP immediate notice, in writing, by certified mail of any action which, in the opinion of the contractor, may result in litigation related in any way to the contract or the State.
PRIME CONTRACTOR RESPONSIBILITY. 2.1 In the event of your final proposal being accepted, then all subcontractors will be subject to approval by the City of Cape Town (‘the City’). Furnish the corporate or company name and the names of all subcontractors in the response section of this document. Notwithstanding any such approval by the City, the successful respondent shall itself be solely responsible for the performance of all work set forth in any contract resulting from this tender, and for compliance with the price and other terms provided in the contract. The successful respondent shall cause the appropriate provisions of its proposal and the contract to be inserted in all subcontracts. 2.2 The City’s consent to or approval of any subcontract or subcontractor proposed by a respondent shall not create or purport to create any obligation of the City to any such subcontractor, or any form of contractual relationship between the City and the subcontractor. Any respondent who obtains such approval or consent of the City shall be required to insert a clause so providing in all subcontracts.

PRIME CONTRACTOR RESPONSIBILITY. Bidders have the option of subcontracting for products and services they propose. If any products or services are to be subcontracted, the Bidder shall provide, within the proposal, a description of the subcontracting organization and the contractual arrangements made therewith. All subcontractors will be subject to approval by the County. The successful Bidder will also furnish the corporate or company name and the names of officers or principals of said companies proposed as subcontractors. The County will consider the prime contractor to be solely responsible in all contractual matters, including payment of any and all charges resulting from such subcontractor arrangements. The successful Bidder shall cause appropriate provisions of its proposal to be inserted in all subcontracts ensuing to insure fulfillment of all contractual provisions by subcontractors.
