Prior Issues definition

Prior Issues means any issue of tax-exempt obligations (whether or not the issuer of each issue is the same) to which Section 103(b)(6) of the 1954 Code or Section 144(a) of the Code applies.
Prior Issues means the outstanding 2009 Bonds, 2010 Bonds, 2013 Bonds and 2016 Bonds, collectively;
Prior Issues means the following industrial revenue development bonds: (a) that certain issue dated as of March 1, 1966 and entitled The Industrial Development Board of the City of Dothan, Alabama's $250,000 Industrial Development First Mortgage Revenue Note, Series B (Akwell Project) issued to The First National Bank of Dothan; (b) that certain issue dated as of October 1, 1974 and entitled The Industrial Development Board of the City of Dothan, Alabama's $800,000 First Mortgage Revenue Bond, Series 1974, A-1; and (c) that certain issue dated July 1, 1984, and entitled The Industrial Development Board of the City of Dothan, Alabama's $2,200,000 Industrial Development Mortgage Revenue Bond, Series 1984 (Ansexx Xxxject) issued to First Alabama Bank of Dothan.

Prior Issues. Except as set forth in Annex V, during the twelve (12) months preceding the date hereof, the Company has not issued any convertible securities. The presently outstanding unconverted principal amount of each such issuance as at September 30, 1997 are set forth in Annex V.

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Convertible Securities means any stock or securities (other than Options) directly or indirectly convertible into or exercisable or exchangeable for shares of Common Stock.

  • Stock Plans has the meaning set forth in Section 3.1(c).

  • Prior Plans means, collectively, the Company’s 2006 Long-Term Incentive Plan, as amended, 2009 Long-Term Incentive Plan, 2012 Long-Term Incentive Plan and 2013 Long-Term Incentive Plan. Awards granted under the Prior Plans continue to be governed under the terms of those Prior Plans.

  • Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Promised Options means promised but ungranted Options that are the greater of those (i) promised pursuant to agreements or understandings made prior to the execution of, or in connection with, the term sheet or letter of intent for the Equity Financing or Liquidity Event, as applicable (or the initial closing of the Equity Financing or consummation of the Liquidity Event, if there is no term sheet or letter of intent), (ii) in the case of an Equity Financing, treated as outstanding Options in the calculation of the Standard Preferred Share’s price per share, or (iii) in the case of a Liquidity Event, treated as outstanding Options in the calculation of the distribution of the Proceeds.

  • Plans means all maps, drawings, sketches and layout as incorporated in the Contract in order to define broadly the scope and specifications of the work & works and all reproductions thereof.

  • Warrants means this Warrant and other Common Stock purchase warrants issued by the Company pursuant to the Registration Statement.

  • SPAC Warrants means SPAC Private Warrants and SPAC Public Warrants, collectively.

  • Mandatorily Convertible Securities means any mandatorily convertible equity-linked securities issued by the Borrower or its Subsidiary, so long as the terms of such securities require no repayments or prepayments and no mandatory redemptions or repurchases, in each case prior to at least 91 days after the later of the termination of the Commitments and the repayment in full of the Revolving Credit Advances and all other amounts due under this Agreement.

  • Preferred Stock Equivalents shall have the meaning set forth in Section 11(b) hereof.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Fully Junior Shares means the Common Shares, the Series 1998 Junior Participating Preferred Shares and any other class or series of shares of beneficial interest of the Company now or hereafter issued and outstanding over which the Series E Preferred Shares have preference or priority in both (i) the payment of dividends and (ii) the distribution of assets on any liquidation, dissolution or winding up of the Company.

  • Company Plans shall have the meaning set forth in Section 3.14(a).

  • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.

  • Company Warrants means warrants to purchase shares of Company Capital Stock.

  • Parent Option means any option to purchase Parent Common Stock which was granted pursuant to a Parent Option Plan.

  • Material Contracts has the meaning set forth in Section 3.09(a).
