The Partnership will maintain and operate the Project, or cause the Project to be maintained and operated (i) in good order and repair, (ii) in compliance with the Project Agreements of each of the Partnership and the Company, the noncompliance with which could reasonably be expected to result in a Material Adverse Change, and (iii) substantially in accordance with Prudent Engineering and Operating Practices.
