Real Property Collateral Documents definition

Real Property Collateral Documents means with respect to each Material Real Property (i) a Mortgage securing the Obligations customary (as determined by the Company in good faith) in form and substance, (ii) a policy or policies (or an unconditional binding commitment therefor to be replaced by a final title policy) of title insurance issued by a nationally recognized title insurance company (each such policy, a “Title Policy”), in the amount of the Fair Market Value of the applicable Material Real Property, insuring the Lien of each Mortgage as a valid first-priority Lien on the Real Property described therein, free of any other Liens except for Permitted Liens and otherwise customary (as determined by the Company in good faith) in form and substance, together with such reasonable and customary (as determined by the Company in good faith) endorsements, co-insurance and reinsurance, (iii) an opinion of local counsel to the applicable Grantor customary (as determined by the Company in good faith) in form and substance and containing customary opinions of local counsel concerning due authorization, due execution and enforceability, (iv) an ALTA survey customary (as determined by the Company in good faith) in form and substance or such existing survey together with a no-change affidavit sufficient for the title company to remove all standard survey exceptions from the Title Policy related to such property and issue the endorsements required by clause (ii) above, and (v) any further agreement, instrument, subordination, estoppel or document as the Collateral Agent may reasonably request in connection with the foregoing and to further grant, preserve, protect, and perfect the liens intended to be provided herein.
Real Property Collateral Documents means any mortgages, deeds of trust, leasehold mortgages or other such documents executed by each Borrowing Subsidiary in favor of the Agent for the benefit of the Lenders relating to such Borrowing Subsidiary's real property, as the same may be amended, supplemented or otherwise modified from time to time.

  • Real Property Collateral means the parcel or parcels of Real Property identified on Schedule R-1 and any Real Property hereafter acquired by Borrower.

  • Personal Property Collateral means all Collateral other than Real Property.

  • Credit Agreement Collateral Documents means the Security Agreement, the other Collateral Documents (as defined in the Credit Agreement) and each other agreement entered into in favor of the Credit Agreement Collateral Agent for the purpose of securing any Credit Agreement Obligations.

  • Real Property Security Documents means the Landlord Consent and any mortgage or deed of trust or any other real property security document executed or required hereunder to be executed by any Obligor and granting a security interest in real Property owned or leased (as tenant) by any Obligor in favor of the Lenders.

  • Second Priority Collateral Documents means the Initial Second Priority Collateral Documents and each of the collateral agreements, security agreements and other instruments and documents executed and delivered by the Borrower or any Grantor for purposes of providing collateral security for any Second Priority Debt Obligation.

  • Intellectual Property Collateral means, collectively, the Patents, Trademarks, Copyrights, Intellectual Property Licenses and Goodwill.
