Representatives of Members definition

Representatives of Members means heads of delegations of Members participating in meetings convened by the Bank other than meetings of the Governors or the Board of Directors;

Representatives of Members means heads of delegations of Members, participating in meetings convened by the Supplementary Fund;

Representatives of Members means representatives, alternates, advisers, technical experts and secretaries of delegations of Members.

Examples of Representatives of Members in a sentence

• Any action of the Members shall require the affirmative vote (in person, by proxy or by written consent) by the Representatives of Members holding a majority of the Investment Percentages of all Members, unless otherwise required in this Agreement.

• Reasonably promptly following the release of each of the Financial Statements (but in any event, not later than ten (10) Business Days following any such release by the Company), the Company will provide a telephonic presentation to the Representatives of Members to discuss the Company’s financial condition and results of operations, following which presentation the Company will allow Representatives of the Members to ask reasonable questions.

• One or more Designated RepresentativeRepresentatives of each Member shall constitute a quorum at any regular or special meeting, unless the Non-Managing Member fails to attend such meeting after receiving notice thereof pursuant to Section 4.8(c), in which case one or more Designated Representatives of Members holding a majority of the Vertical Ownership Percentages shall constitute a quorum at any regular or special meeting.

• Any action of the Members shall require the affirmative vote (in person, by proxy or by written consent) by the Representatives of Members holding a majority of the Sharing Ratios of all Members, unless otherwise required in this Agreement.

• Two Representatives shall be Representatives or alternate Representatives of Members that are in the lowermost one-fifth of the End-Use Load Members when ranked by Electric Revenues, and shall be elected by such Members on the basis of one vote per Member, such seats on the Executive Committee being designated the "Small-Member Seats"; iv.

• When a determination of the Representatives of Members entitled to vote at any meeting of Members has been made as provided in this Section, such determination shall apply to any adjournment thereof.

• For the purpose of determining the Representatives of Members entitled to notice of or to vote at any meeting of the Board or any adjournment thereof, the date on which notice of the meeting is mailed shall be the record date for such determination of Members.

Representatives of Members means all individuals included in the delegations of Members and duly accredited to the System;

Representatives of Members means heads of delegations of Members participating in meetings convened by the Bank other than meetings of the Governors or the Board of Directors; (g) "Members of Delegations" means alternates, advisers, technical experts and secretaries of delegations of Representatives of Members; (h) "Officers" means the President, the Vice-President and other persons appointed by the President to be Officers of the Bank; (i) "Employees of the Bank" means the staff of the Bank excluding those staff both recruited locally and assigned to hourly rates of pay; (j) "Archives of the Bank" includes all records, correspondence, documents, manuscripts, still and moving pictures and films, sound recordings, computer programmes and written materials, video tapes or discs, and discs or tapes containing data belonging to, or held by, the Bank; (k) "Official Activities of the Bank" includes all activities undertaken pursuant to the Agreement Establishing the Bank, and all activities appropriate to fulfil its purpose and functions under Articles 1 and 2 of that Agreement, or undertaken in exercise of its powers under Article 20 of that Agreement including its administrative activities; and (l) "Persons Connected with the Bank" means Governors, Alternate Governors, Temporary Alternate Governors, Representatives of Members, Members of Delegations, Directors, Alternate Directors, Temporary Alternate Directors, the President, the Vice-Presidents, Officers and Employees of the Bank, and experts performing missions for the Bank. Article 2.
