Seller Tenant Certificate definition

Seller Tenant Certificate means a Tenant Certificate signed by the Seller with respect to a particular Lease for which the Tenant in question has failed to execute and deliver a Tenant Certificate, in which case the Seller Tenant Certificate shall be in the form of Exhibit L, provided that a Seller Tenant Certificate shall in all cases be limited to Seller's knowledge as defined in Paragraph 16.1 above.
Seller Tenant Certificate means a Tenant Certificate signed by the Seller with respect to a particular Lease for which the Tenant in question has either (i) failed to execute and deliver a Tenant Certificate, in which case the Seller Tenant Certificate shall be in the form of Exhibit L, or (ii) executed and delivered a Tenant Certificate in a form other than Exhibit L, or a Tenant Certificate containing less information than required by Exhibit L, in which case the Seller Tenant Certificate shall be limited to those matters in Exhibit L which are not addressed in the Tenant Certificate in question.
Seller Tenant Certificate means a Tenant Certificate in the form of Exhibit M-2 signed by Seller with respect to a particular tenant which failed to execute and deliver a Tenant Certificate, containing terms which are consistent with the information regarding such tenant contained in Exhibit C. If a tenant submits a certificate containing terms which are not consistent with the information regarding such tenant set forth in Exhibit C in all material respects, such certificate shall not be considered a Tenant Certificate under the provisions of this Paragraph, and such certificate shall not be counted in determining whether the Required Amount has been achieved.

Examples of Seller Tenant Certificate in a sentence

  • If Seller is unable to obtain the Required Amount of Tenant Certificates, Seller shall be obligated to deliver to Purchaser a Seller Tenant Certificate for those tenants who fail to execute and return a Tenant Certificate, to the extent necessary to achieve the Required Amount.

  • Except for any Seller Tenant Certificate executed by Seller and delivered to Purchaser, Seller does not represent or warrant that any particular Lease will be in effect at Closing or that the tenant will have performed the tenant's obligations thereunder.

More Definitions of Seller Tenant Certificate

Seller Tenant Certificate means a Tenant Certificate signed by the Seller with respect to a particular Lease for which the Tenant in question has failed to execute and deliver a Tenant Certificate, in which case the Seller Tenant Certificate shall be in the form of Exhibit L; provided that (a) a Seller Tenant Certificate shall in all cases be limited to Seller's knowledge as defined in Paragraph 16.1 hereof, and (b) Seller shall be entitled to deliver Seller Tenant Certificates for no more than 20% of the square footage of the occupied leasable area of the Property;
Seller Tenant Certificate means a Tenant Certificate signed by Seller with respect to a particular Lease for which the Tenant in question has failed to execute and deliver a Tenant Certificate, in which case the Seller Tenant Certificate shall be in the form of Exhibit L; provided, however, that a Seller Tenant Certificate shall in all cases be limited to Beneficiary's knowledge as defined in Paragraph 16 hereof and the statements contained in any such Seller Tenant Certificate shall only survive for a period of ninety (90) days from the date such Seller Tenant Certificate is delivered to Purchaser (i.e. Purchaser shall have no right to make any claims against Seller arising out of the Seller Tenant Certificate after the expiration of ninety (90) days immediately following the Closing). Seller's liability pursuant to its delivery of all Seller's Tenant Certificates, if any, shall be limited by the terms of Paragraph 17 hereof.
Seller Tenant Certificate means a Tenant Certificate signed by Seller with respect to a particular Tenant which failed to execute and deliver a Tenant Certificate. Purchaser's obligation to close the transaction set forth hereunder is contingent upon (i) Seller obtaining the Required Amount of Tenant Certificates, as set forth above, or Seller delivering Seller Tenant Certificates necessary to achieve the Required Amount, as set forth above, and (ii) the Tenant Certificates, including the Government Certificates, not disclosing any Qualification (as hereinafter defined) (the "Tenant Certificate Condition"). As used herein, "Qualification" shall mean any information which adversely affects the use of the Fee Property or the obligations of the Tenant or the rights or obligations of the landlord under any Lease which are not disclosed on the Rent Roll attached hereto as Exhibit T or in the Leases, or which disclose any information which is contrary to the information contained in the Rent Roll or in the Leases.
Seller Tenant Certificate means a Tenant Certificate signed by the Seller and limited to the "knowledge of Seller" (as defined in Paragraph 16 herein) with respect to a particular Lease for which the Tenant in question has either (i) failed to execute and deliver a Tenant Certificate, in which case the Seller Tenant Certificate shall be in the form of Exhibit L, or (ii) executed and delivered a Tenant Certificate in a form other than Exhibit L, or a Tenant Certificate containing less information than required by Exhibit L, in which case the Seller Tenant Certificate shall be limited to those matters in Exhibit L which are not addressed in the Tenant Certificate in question. Seller shall deliver all Seller Tenant Certificates to the on-site manager of the Property and discuss the accuracy of all Seller Tenant Certificates with the on-site manager prior to delivery of the Seller Tenant Certificates to Purchaser.

  • Gift certificate means a merchandise certificate conspicuously designated as a gift certificate, and purchased by a buyer for use by a person other than the buyer.
