The Settlement Administrator shall be paid the Settlement Administrator Costs no later than fifteen (15) days after Defendants fully fund the settlement.
Defendants retain the right to audit and review the Settlement Administrator Costs.
Within ten (10) calendar days of entry of the Preliminary Approval Order, ▇▇▇▇▇▇▇’▇ shall transmit to the Settlement Administrator the estimated Settlement Administrator Costs sufficient to cover the cost of providing notice pursuant to paragraph 5.
The Net Settlement Fund will consist of the remainder of the Cash Settlement Fund after payment of all Settlement Administrator Costs, the Class Representative Service Payment, and Plaintiff’s Counsel’s Fees and Expenses.
To the extent that any portion of the estimated Settlement Administrator Costs to cover the cost of providing notice pursuant to paragraph 5 is not actually incurred by the Settlement Administrator or not approved by the Court, that portion shall become part of the Net Settlement Fund, and distributed pursuant to the procedures set forth below.
The Settlement Administrator shall be paid for any additional, necessary Settlement Administrator Costs reasonably incurred beyond the payment provided in paragraph 2.2 up to the $150,000 cap.
The Parties acknowledge that there will be certain Settlement Administrator Costs associated with the Settlement, including the cost of providing notice to the Class and administering the terms set forth in this Agreement related to the distribution of compensation to Settlement Class Members and managing opt-out requests and objections consistent with this Agreement.
Upon expiration of the Response Deadline, with the Court’s permission, a final approval hearing shall be conducted to determine final approval of the Settlement along with the amount properly payable for: (i) the Class Counsel Fee and Cost Award; (ii) the Class Representative’s Service Award; (iii) Individual Settlement Payments; (iv) PAGA penalties and associated payments pursuant to PAGA; and (v) Settlement Administrator Costs.
The award of Settlement Administrator Costs in the amount sought is not a material term of this Agreement and the award of an amount less than requested by Plaintiff does not give rise to a basis to abrogate this Agreement.
The Net Settlement Amount will be determined by the Settlement Administrator by subtracting the Class Counsel Award, Class Representatives’ Enhancement Awards, Individual and LWDA PAGA Payments, and Settlement Administrator Costs from the Total Settlement Amount.
