Responsibilities of the Settlement Administrator. The settlement administrator that is selected and retained by Company (the “Settlement Administrator”), under the joint supervision of Company and Class Counsel or their designees, and subject to the supervision, direction and approval of the Court, shall be responsible for the administration of the Settlement Fund. The responsibilities of the Settlement Administrator shall expressly include without limitation: (a) the determination of the eligibility of any Class Member to receive payment from the Settlement Fund and the amount of payment to be made to each Class Member, in accordance with the provisions of § 8.4 of this Agreement; (b) the determination as to whether the election of any Class Member to transfer a settlement payment to the Foundation has been authorized by such Class Member, in accordance with the provisions of § 8.4 of this Agreement; (c) the administration of an appropriate procedure for the adjudication of disputes that may arise with respect to the eligibility of a Class Member to receive a payment from the Settlement Fund or the amount of the payment authorized to be made by the Settlement Fund to any Class Member under the provisions of this Agreement; (d) the filing of any tax returns necessary to report any income earned by the Settlement Fund and the payment from the Settlement Fund, as and when legally required, of any tax payments (including interest and penalties) due on income earned by the Settlement Fund and to request refunds, when and if appropriate, with any such tax refunds that are issued to become part of the Settlement Fund; and (e) the compliance by the Settlement Fund with any other applicable law. The fees and expenses of the Settlement Administrator shall be paid by Company; provided that neither Company nor Class Counsel shall be responsible for any other costs, expenses or liabilities of the Settlement Fund.
Responsibilities of the Settlement Administrator. The Settlement Administrator will be responsible for generating and mailing the Settlement Forms to Qualified Class Members; tracking and updating Qualified Class Member addresses; distributing the Settlement Checks and the Service Award(s); promptly forwarding copies of Change of Address forms and any documents in connection with a Qualified Class Member’s efforts to object to the Settlement to Class Counsel and Bloomberg’s Counsel, and providing copies of cashed Settlement Checks (including the endorsement on the back of the Settlement Check) to Class
Responsibilities of the Settlement Administrator. A. In addition to the duties specified in this Settlement Agreement, the Settlement Administrator shall be responsible for, without limitation: (a) issuing and distributing the Class Notice, subject to the approval of Class Counsel and TASC’s Counsel; (b) issuing and distributing a short form notice for publication, subject to the approval of Class Counsel and TASC’s Counsel as to content and the publications in which it will appear; (c) arranging for the publication of a short form notice; (d) responding to requests for a copy of the Class Notice; and (e) distributing all approved payments from the Settlement Fund. B. The manner of distribution of notice to Settlement Class Members will be as described in Exhibit 8. Within thirty (30) calendar days of the Preliminary Approval Date, the Settlement Administrator will disseminate Class Notice to the Settlement Class as agreed upon by the Parties. C. The Settlement Administrator shall provide an affidavit to Class Counsel, who shall provide a copy of the affidavit to the Court, attesting to the measures undertaken to provide notice of the Settlement. D. The Settlement Administrator shall use the Settlement Fund to administer the Settlement. E. The Settlement Administrator shall create and maintain the Settlement Website. F. The Settlement Administrator shall submit to the Parties a final report of claims and settlement payments within sixty (60) calendar days after the conclusion of all distributions from the Settlement Fund.
Responsibilities of the Settlement Administrator. 1. The Parties shall appoint Xxxx Administration to serve as the Settlement Administrator who will fulfill various duties described more in detail below including implementing the terms set out in this Settlement Agreement and the Notice Program. 2. The Settlement Administrator shall be responsible for: mailing Class Notice to every Class Member, mailing a Claim Form to every Class Member, publishing the Class Notice in appropriate public forums, distributing payments to the Settlement Class Members, and otherwise administering the Notice Program. The Settlement Administrator will maintain an appropriate insurance policy to protect against any violation of its fiduciary duty to the Court, Class Members, Class Counsel, and Defendants’ Counsel. The Notice Program shall comply with all requirements of applicable law.
Responsibilities of the Settlement Administrator. 7.1 Class Counsel represents and warrants that they have contracted, or will contract, with the Settlement Administrator to perform all of the tasks specified and assigned to it in this Agreement, within the time limits specified in this Agreement. The Parties shall mutually agree on the selection of the Settlement Administrator, although Defendant will not unreasonably withhold its consent. 7.2 The Settlement Administrator shall ensure that the information that it receives from the Parties and Class Members is secured and managed in such a way as to protect the security and confidentiality of the information. The Settlement Administrator shall, in conjunction with its periodic reporting under Section 3.3.4 above, disclose information that it receives from Class Members. Defendant’s counsel agrees to not unreasonably withhold its consent in response to Class Counsel’s representation that they need to confirm the Class Member status of a specific individual who may contact Class Counsel with questions regarding this Agreement. Under such circumstances, Class Counsel will provide Defendant’s counsel with the name and any other identifying information of such individual so that Defendant’s counsel and/or the Settlement Administrator may confirm whether the individual is a Class Member. 7.3 The Settlement Administrator shall be responsible for executing the Notice Plan as set forth in Section 3 above. 7.4 The Settlement Administrator shall calculate, prepare and deliver to Class Members the Class Member Payments in accordance with Section 9 below. 7.5 Within fourteen (14) days of the Effective Date, Defendant will deposit the Gross Settlement Amount into the Qualified Settlement Fund.

The Settlement Administrator shall be responsible for: mailing Class Notice to every Class Member, mailing a Claim Form to every Class Member, posting the Class Notice in the Normandy Jail and Normandy City Hall, providing access to copies of Claim Forms in the Normandy Jail and Normandy City Hall, uploading the Class Notice and Claim Forms to the World Wide Web by means of a website managed by the Settlement Administrator, operating a toll-free number by which potential Class Members can call to learn more information; distributing notice through publications in the St. Louis American on at least one day per week for three consecutive weeks commencing on the Notice Date, distributing payments to the Settlement Class Members, and otherwise administering the Notice Program. The Settlement Administrator will maintain an appropriate insurance policy to protect against any violation of its fiduciary duties to the Court, Class Members, Class Counsel, and Defendant's Counsel. The Notice Program shall comply with all requirements of applicable law; and b. The Settlement Administrator will provide information about the Settlement to Class Members, including notice and claims documents, court documents, and a copy of the Settlement Agreement on a settlement website.
Responsibilities of the Settlement Administrator. 1. The Settlement Administrator shall implement and administer the Notice Program. 2. The Settlement Administrator shall be subject to the jurisdiction of the Court with respect to any dispute arising between the Settlement Administrator and the Parties regarding the implementation of the terms and conditions of the administration agreement. 3. The Settlement Administrator shall be responsible for, without limitation: (i) responding to requests for Claim Forms; (ii) mailing the Class Notices; (iii) mailing the reminder postcard (and email notice where available) halfway through the Claims Period; (iv) responding to requests for a copy of the Class Notice and other settlement documents; (v) communicating with Class and Defendant Counsel regarding Claim Forms, Objections, and Requests for Exclusion; (vi) otherwise administering the Notice Program; (vii) distributing payments to the Eligible Settlement Class Members as well as emailing, Settlement Class Members who have not cashed their checks prior to thirty (30) days before the deadline to do so; (viii) reissuing checks upon the request of a Settlement Class Member; and (ix) maintain the Settlement Website. The Notice Program shall comply with all requirements of applicable law. 4. The Settlement Administrator will provide information about the Settlement to Settlement Class Members, including notice and claims documents, court documents, and a copy of the Settlement Agreement. 5. GEO reserves the right, until the date which is fifteen (15) days prior to the Final Approval Hearing, to review Claim Forms submitted by persons who believe that they qualify as Settlement Class Members and determine whether the putative Settlement Class Member in fact qualifies as an Eligible Settlement Class Member. In the event that XXX has documentary evidence that raises a dispute about the right of a putative Settlement Class Member to receive payment under this Settlement Agreement, GEO will provide an explanation and supporting documents to Class Counsel and the Settlement Administrator. Class Counsel shall have five (5) days from the date of receipt of GEO’s dispute to provide further documentation or explanation in support of the putative Settlement Class Member’s claim to GEO and the Settlement Administrator. 6. In the event GEO disputes whether Settlement Class Members who have submitted Claim Forms qualify as Eligible Settlement Class Members, the Settlement Administrator shall have final authority to determine wheth...

Responsibilities of the Settlement Administrator. In addition to establishing the Qualified Settlement Fund, the Settlement Administrator shall be responsible for the following: creating a plan of settlement administration and settlement fund distribution; using the data provided by Defendants to calculate each Class Member’s approximate Individual Settlement Payment; ascertaining the identity and whereabouts of the Class Members; communicating with Class Members as necessary; printing and mailing the Notice of Class Action Settlement to the Class Members as directed by the Court; receiving and reporting requests for exclusion and objections; processing and mailing payments to Plaintiff, Class Counsel, Participating Class Members, and the LWDA; notifying the Parties of, and resolving any disputes regarding, the calculation of Class Members’ Individual Settlement Amounts; complying with all tax reporting notice and filing requirements and tax withholding and payment requirements; carrying out all other duties related to the Qualified Settlement Fund’s documentation and filing; providing declaration(s) as necessary in support of preliminary and/or final approval of this Settlement; providing status reports as needed, among other administrative duties; and other tasks as the Parties mutually agree or the Court orders the Settlement Administrator to perform. The Settlement Administrator shall keep the Parties timely apprised of the performance of all Settlement Administrator responsibilities.
