Specified System definition

Specified System means any System as defined in clause (ii) of the definition of such term in the Comcast/Adelphia Purchase Agreement or the TWC/Adelphia Purchase Agreement that is allocated to the Group 2 Business in the Comcast/Adelphia Purchase Agreement or the TWC/Adelphia Purchase Agreement and is accounted for as of the date hereof by Adelphia as a non-primary “Cost Center” and that as of the termination of this Agreement would be inoperable or not commercially viable as an independent cable communications system without one or more material services described in Section 6.8(b) (whether due to lack of independent franchise, headend or otherwise). Each such sale and purchase shall be subject to receipt of required consents and approvals of Governmental Authorities and required material consents and approvals of other third parties, and the parties shall negotiate in good faith definitive agreements to evidence such transactions that contain representations, warranties, covenants (including indemnification provisions) and conditions substantially the same as those contained in this Agreement with respect to the Adelphia Systems mutatis mutandis.
Specified System means a system or feature as defined in the Building Act 2004 under section 7.
Specified System means an Installed Digital System with respect to which, as set forth in the Exhibitor Approval Schedule delivered with respect to the applicable Approved Exhibitor, the Administrative Agent has approved a principal amount of funded Term Loans of less than $42,500.

More Definitions of Specified System

Specified System shall be deemed complete when the control keys/tags or codes are handed over to the customer. Notwithstanding that at the time the Telephone Connections have not been installed or connected by the telecommunications Company and / or the Customer has failed to fulfil their obligations (if any) under this agreement and as set out in the specification, and / or any work remains to be carried out by the Customers’ Contractors. The Customer shall afford to the Company and its employees full access to the premises for the purpose of installing the “Specified System”. While every effort will be made to install the “Specified System” as soon as practicable, the Company will not be liable for any delay in installation.
