Starwood Documents means, collectively (each dated, as applicable, November 5, 2013): (a) the Second Amended and Restated Limited Partnership Agreement of the OP, as amended by Amendment No. 1 the Second Amended and Restated Limited Partnership Agreement of Xxxxxxx Capital Essential Asset Operating Partnership, L.P., (b) the Investor Rights Agreement entered into between the OP, the Parent, Xxxxxxx Capital Essential Asset Advisor LLC, and SPT Xxxxxxx Holdings, LLC, (c) Series A Cumulative Redeemable Exchangeable Preferred Unit Purchase Agreement entered into between the OP, the Parent, SPT Xxxxxxx Holdings, LLC, and Starwood Property Trust, Inc., (d) the Parent’s Articles Supplementary Establishing and Fixing the Rights and Preferences of a Series of Preferred Stock, (e) Subordination of Second Amended and Restated Advisory Agreement entered into between the Parent, SPT Xxxxxxx Holdings, LLC, and Xxxxxxx Capital Essential Asset Advisor, LLC, (f) Subordination of Management Agreements entered into between the OP, various affiliates of the OP, SPT Xxxxxxx Holdings, LLC, and Xxxxxxx Capital Essential Asset Property Management, LLC, and (g) the Escrow Agreement entered into between the OP, the Parent, Xxxxxxx Capital Essential Asset Advisor, LLC, SPT Xxxxxxx Holdings, LLC and Sidley Austin LLP.

  • The proceeds of the Loans will be used for acquisition, acquisition fees and expenses, development and enhancement of Real Property, debt refinancing, capital and tenant improvements, working capital and for the retirement of the remaining preferred equity issued under the Starwood Documents.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.

  • Fund Documents those documents prepared by the Fund that, pursuant to Rule 498(e)(1), must be publicly accessible, free of charge, at the Web site address specified on the cover page or at the beginning of the Summary Prospectus.

  • L/C Related Documents has the meaning specified in Section 2.06(b)(i).

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • Program Agreements means, collectively, this Agreement; the Administration Agreement; Custodial Agreement; the Pricing Side Letter; the Electronic Tracking Agreement; the Collection Account Control Agreement; the Power of Attorney; each Servicing Agreement; each Servicer Notice; when entered into, the Subordination Agreement; and if entered into, the Escrow Agreement, the Intercreditor Agreement and the Joint Securities Account Control Agreement.

  • Related Documentation means, with respect to Software, all materials, documentation (including control documentation utilized in connection with an audit), specifications, technical manuals, user manuals, flow diagrams, file descriptions and other written information that describes the function and use of such Software, but excluding source code.

  • Program Documents or “Loan Documents” means the MMRB Loan Commitment, MMRB Loan Agreement, Note, Mortgage, Credit Enhancement, MMRB Land Use Restriction Agreement, trust indenture, preliminary and final official statements, intercreditor agreement, assignments, bond purchase agreement, compliance monitoring agreement, mortgage servicing agreement and such other ordinary and customary documents necessary to issue and secure repayment of the Bonds and the MMRB Loan sufficient to protect the interests of the Bond owners and the Corporation.

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Notes and the Trust Securities.

  • Partnership Documents means (a) all Subject Instruments and (b) all other contracts, indentures, mortgages, deeds of trust, loan or credit agreements, bonds, notes, debentures, evidences of indebtedness, swap agreements, leases or other instruments or agreements to which the Partnership or any of its subsidiaries is a party or by which the Partnership or any of its subsidiaries is bound or to which any of the property or assets of the Partnership or any of its subsidiaries is subject that solely in the case of this clause (b), are material with respect to the Partnership and its subsidiaries taken as a whole.

  • Limited Documentation Program The guidelines under which the Seller generally originates Mortgage Loans principally on the basis of the Loan-to-Value Ratio of the related Mortgage Loan and the creditworthiness of the Mortgagor.

  • Securitization Documents means all documentation relating to any Permitted Securitization.

  • Acquisition Agreements has the meaning specified in the Recitals.

  • Depositor’s Formation Documents means the Certificate of Formation of Nissan Auto Leasing LLC II, dated as of October 24, 2001 and the Limited Liability Company Agreement of Nissan Auto Leasing LLC II, dated as of October 29, 2001.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.
