Stock Price Target definition

Stock Price Target means a target stock price as set forth in Column (3) of Exhibit A.
Stock Price Target means the value obtained by annual compounding (at a rate of ten percent (10%) per annum for a period of three years) of the average closing price of a Share, as reported by the Nasdaq Global Select Market, for the sixty (60) consecutive trading days immediately preceding the Date of Grant. The Stock Price Target for the RSU grant covered by this Agreement is [ ].
Stock Price Target means, as applied to each Tranche, the Stock Price Target set forth in the table above in Section 3(A) for that Tranche. The Stock Price Target for a Tranche will be deemed achieved if, at any time during the Performance Period, the 15-Day Average Stock Price equals or exceeds the Stock Price Target applicable to that Tranche. Each Stock Price Target that has not previously been achieved will be subject to an equitable and proportionate adjustment to the extent (if any) necessary to preserve the intended incentives of this Award and mitigate the impact of any stock split, stock dividend or reverse stock split occurring during the Performance Period. The Committee’s determination of whether such an adjustment is required (and the extent of any such adjustment) shall be final and binding.

Examples of Stock Price Target in a sentence

  • The foregoing provision regarding exercisability shall apply separately to each portion of this Stock Option that becomes vested based on a different Stock Price Target; provided, however, that in all events the vested portion of the Option shall be fully exercisable on the 5th anniversary of the Grant Date if the Optionee is then employed by the Company or its Subsidiaries.

More Definitions of Stock Price Target

Stock Price Target means a Threshold Stock Price ("ThSP"), a Target Stock Price ("TSP"), or Maximum Stock Price ("MSP"), as set forth in Column (3) of Exhibit 2.
