Stock Price Target definition

Stock Price Target means a target stock price as set forth in Column (3) of Exhibit A.

Stock Price Target means the value obtained by annual compounding (at a rate of ten percent (10%) per annum for a period of three years) of the average closing price of a Share, as reported by the Nasdaq Global Select Market, for the sixty (60) consecutive trading days immediately preceding the Date of Grant. The Stock Price Target for the RSU grant covered by this Agreement is [ ].

Stock Price Target means, as applied to each Tranche, the Stock Price Target set forth in the table above in Section 3(A) for that Tranche. The Stock Price Target for a Tranche will be deemed achieved if, at any time during the Performance Period, the 15-Day Average Stock Price equals or exceeds the Stock Price Target applicable to that Tranche. Each Stock Price Target that has not previously been achieved will be subject to an equitable and proportionate adjustment to the extent (if any) necessary to preserve the intended incentives of this Award and mitigate the impact of any stock split, stock dividend or reverse stock split occurring during the Performance Period. The Committee’s determination of whether such an adjustment is required (and the extent of any such adjustment) shall be final and binding.

Examples of Stock Price Target in a sentence

• The foregoing provision regarding exercisability shall apply separately to each portion of this Stock Option that becomes vested based on a different Stock Price Target; provided, however, that in all events the vested portion of the Option shall be fully exercisable on the 5th anniversary of the Grant Date if the Optionee is then employed by the Company or its Subsidiaries.

• If, as a result of the Company Stock Price Target achievement, a number of Shares otherwise would have become Eligible Shares but for the Share Limit, the Shares that exceeded the Share Limit will not become Eligible Shares, and any such Shares will only become Eligible Shares (if at all) upon the next Achievement Date relating to the Company Stock Price Target applicable to such Shares, subject to Sections 3 and 4 of this Exhibit A.

• The determinations of the Board or the Compensation Committee with respect to the achievement of a Revenue Target or Stock Price Target shall be final and binding.

• Potential applicants are encouraged to work with the Department's Regional Development Officer while preparing an application to the program.

• April 15, 2021 would be an Achievement Date that results in an additional 25% of the First Grant Tranche Target Shares becoming Eligible Shares (equal to (x) the 50% of the First Grant Tranche Target Shares that corresponds to the $15.00 Company Stock Price Target minus (y) the 25% of the First Grant Tranche Target Shares that had previously become Eligible Shares).

• Subject to paragraph 5.2 below, the Unit Value of each Performance Unit will be paid to you in a minimum of eight quarterly installments commencing as soon as practicable following the attainment of the applicable Stock Price Target.

• The determination of whether a Stock Price Target has been satisfied, and when such Stock Price Target has been satisfied, will be made in the sole discretion of the Board.

• In order for the Canada to properly assess the merits of each proposed transaction, Canada is looking to retain the services of economic and business valuation/accounting specialists.

• If the Company achieves either or both of the Revenue Growth Target or the Stock Price Target in amounts between the levels listed in the table below (i.e. between “Threshold” and “Target” or between “Target” and “Maximum”), the percentage of the Revenue Growth Target or Stock Price Target, as applicable, that will become earned and vested will be interpolated on a straight-line basis between the closest two percentages in the table below.

More Definitions of Stock Price Target

Stock Price Target means a Threshold Stock Price ("ThSP"), a Target Stock Price ("TSP"), or Maximum Stock Price ("MSP"), as set forth in Column (3) of Exhibit 2.

Stock Price Target means the stock price calculated by applying Stock Price CAGR to the Base Stock Price for the applicable Performance Period or, in the event of a Change in Control, as set forth in Section 8.2(a).

Stock Price Target shall equal $6.00 and the “Company’s Stock Price” shall mean, as of any date, the volume weighted average price of the Company’s common stock for the 15-day calendar period prior to such date. The Stock Price Target shall be subject to equitable adjustment as determined by the Committee in its sole discretion to take into account any stock split, reverse stock split or similar capitalization event affecting the Company’s outstanding common stock.
