Supplier Tools definition

Supplier Tools means any and all original works of authorship, inventions, designs, methodologies, processes, concepts or know-how created, owned or licensed by Supplier prior to commencing work for the benefit of XXXXX, and identified in the Order in sufficient detail to distinguish it from Work Product developed under the Order. Supplier Tools includes all derivatives of or improvements on any Supplier Tools, whether interim copies or works, works in progress or final versions of any such items.

Supplier Tools shall have the meaning specified in Section 22.9 (License Restriction).

Supplier Tools means all proprietary business methods, databases, computer programs, know-how, and methods of calculation used for the purpose of the Agreement and any deliverable pursuant to a Statement of Work under this Agreement are the sole property of Supplier. The Parties agree and acknowledge that at no time shall the Supplier Tools be licensed to or become the property of Customer;

• You may not, nor knowingly permit any person to, use Supplier Tools to inflate the amount of any Tracked Activities.

• You agree to implement, operate, maintain and update the Supplier Tools in accordance with Supplier’s instruction.

• Supplier may suspend, limit, restrict, condition or deny Your access to or use of all or any part of the Network, the Network Platform, the Supplier Tools, or any Qualifying Links at any time in its sole discretion.

• If you determine that certain Data Protection Laws do not apply to you, then you agree to provide Supplier with your analysis concluding the same or, provide detailed information regarding the specific steps you take to ensure that individuals located in the applicable jurisdiction, or to otherwise ensure that individuals located in a particular regulated jurisdiction do not visit Your Site using the Network or Supplier Tools.

• You will immediately cease to use and remove from all Site(s), whether or not controlled by You, all Qualifying Links and other Content or materials provided to You in connection with Your participation in the Network or Your use of the Network Platform and Supplier Tools.

More Definitions of Supplier Tools

Supplier Tools means all concepts, know-how, tools, questionnaires and assessments, modules, courses, frameworks, software, algorithms, databases, content, models, and industry perspectives provided by MSC Digital which have been developed or enhanced outside of the Services.

Supplier Tools means all design tools developed and/or utilized by Supplier in performing the services, including without limitation pre-existing and newly developed software including source code, web authoring tools, type fonts, and application tools, together with any other software, or other inventions whether or not patentable, and general non-copyrightable concepts such as Web site design, architecture, layout, models, molds, navigational and functional elements.

Supplier Tools has the meaning given in Exhibit 4.

Supplier Tools means all tools developed and/or utilized by Supplier in performing the Services;

Supplier Tools means Supplier and third party tool kits used by Supplier to provide the Services and needed by Client for ongoing execution and delivery thereof.

Supplier Tools means all know-how, development tools, processes, methodologies and technologies which are vested in or licensed to the Transporter and which are used by the Transporter in performing the Transport Services;

Supplier Tools means, collectively, certain knowledge, techniques, procedures, routines and methods used in the creation of software and certain functionality thereof which have been developed by Supplier, or a Subcontractor in its regular course of business and which does not constitute Work Product. The term Supplier Tools shall not include Supplier Machines or Supplier Software. Supplier Tools shall include any new or improved methodologies or tools developed by Supplier during the Agreement Term that are created by Supplier independently of and without reference to or use of any Confidential Information of JPMC and by personnel in the research and development unit of Supplier that is separate from the unit providing the Services. Each Task Order shall set forth Supplier Tools used in connection with the Services and Deliverables applicable to such Task Order. Supplier Tools are deemed Supplier trade secrets for all purposes under this Agreement.
