Supplier Tools definition

Supplier Tools means any and all original works of authorship, inventions, designs, methodologies, processes, concepts or know-how created, owned or licensed by Supplier prior to commencing work for the benefit of VGCA, and identified in the Order in sufficient detail to distinguish it from Work Product developed under the Order. Supplier Tools includes all derivatives of or improvements on any Supplier Tools, whether interim copies or works, works in progress or final versions of any such items.
Supplier Tools shall have the meaning specified in Section 22.9 (License Restriction).
Supplier Tools means all design tools developed and/or utilized by Supplier in performing the services, including without limitation pre-existing and newly developed software including source code, web authoring tools, type fonts, and application tools, together with any other software, or other inventions whether or not patentable, and general non-copyrightable concepts such as Web site design, architecture, layout, models, molds, navigational and functional elements.

Examples of Supplier Tools in a sentence

  • You agree to implement, operate, maintain and update the Supplier Tools in accordance with Supplier’s instruction.

  • You may not, nor knowingly permit any person to, use Supplier Tools to inflate the amount of any Tracked Activities.

  • Unless You are so permitted as a Subnetwork, You may not: (i) sublicense, rent, lease, sell, resell, or outsource any Supplier Tools; or (ii) use any Supplier Tools in connection with aggregating, soliciting or recruiting Advertisers, other publishers, other sites or other persons to form or join a marketing, advertising or similar network.

  • You are responsible for the use and storage of the password and ID issued by Supplier to access the Supplier Tools and will immediately notify Supplier in writing of any loss or involuntary disclosure thereof.

  • Subject to the terms of this Agreement, Supplier grants You a personal, non- exclusive, non-transferable, non-sublicensable, revocable and limited license to do the following solely for the Permitted Purpose: (a) use information from or about the Network for the Permitted Purpose, (b) access the Network Platform including reports made available to You by Supplier; and (d) use without modification any Supplier Tools (including Qualifying Links) provided by Supplier.


More Definitions of Supplier Tools

Supplier Tools means all proprietary business methods, databases, computer programs, know-how, and methods of calculation used for the purpose of the Agreement and any deliverable pursuant to a Statement of Work under this Agreement are the sole property of Supplier. The Parties agree and acknowledge that at no time shall the Supplier Tools be licensed to or become the property of Customer;
Supplier Tools means all concepts, know-how, tools, questionnaires and assessments, modules, courses, frameworks, software, algorithms, databases, content, models, and industry perspectives provided by MSC Digital which have been developed or enhanced outside of the Services.
Supplier Tools means technology, software, reports and databases, account management and other services that may be made available from time to time by Supplier for use in Engagements, including Supplier owned Qualifying Links, but excluding Qualifying Links provided by Advertisers.
Supplier Tools has the meaning given in Exhibit 4.
Supplier Tools means all tools developed and/or utilized by Supplier in performing the Services;
Supplier Tools means any pre-existing materials or other Intellectual Property Rights owned by the Supplier which pre-date or are created independently of this Agreement and are used in the Deliverables and which are not created specifically for the App Users and which are intended for general use in respect of the Supplier’s business, and any changes, modifications or enhancements made thereto during the Contract Period; “Terms of Service” means these terms and conditions being clauses 1 to 18 inclusively;
Supplier Tools means Supplier and third party tool kits used by Supplier to provide the Services and needed by Client for ongoing execution and delivery thereof.
