Target Share Plans definition

Target Share Plans has the meaning given to it in Schedule 2;
Target Share Plans means each of the PSP, UK Sharesave, 2009 Irish Sharesave, 2019 Irish Sharesave, International Sharesave and SIP;
Target Share Plans means the LTIP; the Dialog Semiconductor PLC Deferred Bonus Plan 2013 (the “DBP”); and the Dialog Semiconductor PLC Employee Share Plan 2013 (the “ESP”), incorporating California addenda where applicable;

Examples of Target Share Plans in a sentence

  • The Board does not intend to exercise any discretion it may have pursuant to the Target Share Plans to extend the exercise period of Awards in connection with the Acquisition.

  • The Parties agree that the provisions of Schedule 2 in respect of the proposals under Rule 15 of the Code relating to the Target Share Plans, and the other matters with which it deals, shall apply.

  • Subject to applicable legal and regulatory requirements, Bidco and Target intend that the following arrangements and acknowledgements will, subject to the Scheme becoming effective in accordance with its terms, apply to the Target Share Plans and the Target Employees.

  • The Parties agree that they will work together, in accordance with the terms of Schedule 2 to this Agreement, to inform participants in the Target Share Plans of their rights under the Target Share Plans and the appropriate proposals made to them in accordance with Rule 15 of the Code.

  • In this Schedule 2, each of the following words and expressions shall have the following meanings: "award" includes a conditional right to acquire, or an option over, Target Shares granted pursuant to the Target Share Plans.

Target Share Plans means each of the LTIP 2010, LTIP 2021 and SIP; and
Target Share Plans means each of the LTIPs, the RSU Plan, the Sharesave and the ESPP, together with the CK Option. Target Share Plans means the Halcrow Approved CSOP, the Xxxxxxx XXXX Plan, the Halcrow SIP and the Halcrow Unapproved CSOP;
