Time & Materials Services definition

Time & Materials Services means services performed against an hourly, daily, weekly, or monthly rate and reimbursement of materials and expenses based on Viavi’s costs, expenses and standard rates, available on request. Time & Materials Services may include, for example, technical assistance with the deployment of hard- ware and software, and repairs beyond warranty coverage and/or maintenance agreements. Time & Materials Services do not include services provided (i) for fixed fees or with a commitment to provide certain deliverables (such services are gov- erned by Viavi’s Fixed Fee Services Terms), (ii) under standardized product offerings (e.g., maintenance services, which are subject to Viavi’s Software Maintenance Ser- vices Terms); or (iii) to install standard Products (such services are governed by Viavi’s Installation Services Terms).
Time & Materials Services means the labor rendered and parts installed in the repair or replacement of a System or System components for a Customer who does not have a Service Contract in force, or for whom the requested Services are outside the scope of the applicable Service Contract which the Customer does have in force.
Time & Materials Services means services performed against an hourly or daily rate and reimbursement of materials and expenses based on KLA’s Data Sheet. Time & Materials Services may include, for example, consulting services, technical assistance with the deployment of hardware and software, and repairs beyond warranty coverage and maintenance agreements. Time & Materials Services do not include services (i) provided for a fixed one-time fee, milestone fees, or recurring quarterly or annual fees (e.g., maintenance); or (ii) to produce deliverables (including customizations of KLA solutions) whose conformance to specifications KLA warrants.

  • The Personnel shall keep records of the Time & Materials Services performed for Customer including records with respect to the dates and duration of performances and the type of services performed (“Perfor- mance Records”).

  • If Time & Materials Services other- wise fail to conform to the limited warranty set forth in Section 4.1 (Limited Warranty) and KLA fails to cure such non-conformance within ten (10) days after receiving Customer’s detailed request to cure, Customer may terminate Time & Materials Services in accord- ance with Section 6 (Termination).

Related to Time & Materials Services

  • Equipment/Materials/Goods means and include all equipment, machinery, stores, goods which are required under the Contract for satisfactory performance of Services by the Service Provider.

  • Products/Services means the goods/benefits/facilities offered by the Alliance Partner.

  • Installation Services means all those services ancillary to the supply of the Plant and Equipment for the Facilities, to be provided by the Contractor under the Contract; e.g., transportation and provision of marine or other similar insurance, inspection, expediting, site preparation works (including the provision and use of Contractor’s Equipment and the supply of all construction materials required), installation, testing, pre-commissioning, commissioning, operations, maintenance, the provision of operations and maintenance manuals, training, etc.

  • Pharmacy services means the practice of pharmacy as defined in chapter 18.64 RCW and includes any drugs or devices as defined in chapter 18.64 RCW.
