Title and Operating Documents definition

Title and Operating Documents means, in respect of the Properties:
Title and Operating Documents means, to the extent directly related to the Petroleum and Natural Gas Rights and the Tangibles, or either of them:
Title and Operating Documents means all agreements, contracts, instruments and other documents that govern the ownership, operation or use of the Assets or relate to Permitted Encumbrances, including (i) the Leases and other agreements and instruments pursuant to which the Oil Sands Rights were issued, granted or created, (ii) permits, licenses, approvals and authorizations, (iii) operating agreements, unit agreements, production allocation agreements, trust declarations, participation agreements, joint venture agreements, farmin agreements, farmout agreements and royalty agreements, (iv) agreements that create or relate to Surface Interests, (v) agreements for the construction, ownership and/or operation of the Tangibles, (vi) trust declarations and other documents and instruments that evidence the Vendor's interests in the Assets; and (vii) trust declarations pursuant to which the Vendor holds interests in the Lands in trust for other Persons.

  • Promptly following execution of this Agreement, DCC shall advise Purchaser in writing of those Scheduled Assets for which a ROFR is triggered by the Transaction and not otherwise exempt under the provisions of the Title and Operating Documents (excluding the Shallow Rights Option, the “ Identified ROFRs ”).

  • Within ten (10) Business Days after Closing or any other day as Vendor and Purchaser may agree, Vendor shall deliver or cause to be delivered to Purchaser the Title and Operating Documents and such other agreements and documents to which the Assets are subject, the original copies of those contracts, agreements, records, books, documents, licences, reports and data comprising Miscellaneous Interests which are in the possession and control of Vendor.

  • In addition, upon any notice being given for the termination of this Agreement or the Management Period, where records, documents or Title and Operating Documents are required for use by each of Canpar and either the Corporation, FHT or the Partnership, Manager will permit Canpar to retain the originals thereof but shall, at the cost of the Corporation, FHT or the Partnership, as the case may be, arrange for Canpar to promptly provide copies thereof to the Corporation, FHT or the Partnership.

  • The current forecast over- spend against the external placement budget of £5.98 million (34.7% above budget) is due to a higher number of external placements than anticipated, within which the number of residential placements has increased in both absolute and proportionate terms.

  • No later than two (2) months after Closing, DCC shall deliver to Purchaser all electronic Books and Records and electronic Title and Operating Documents relating to the Assets and all other electronic files, records and documents included in the Miscellaneous Interests.

Title and Operating Documents means documents of title including:
Title and Operating Documents means, in respect of any P&NG Rights or Tangibles, collectively, (a) any and all certificates of title, leases, reservations, permits, licences, exploration agreements, assignments, trust declarations, operating agreements, royalty agreements, gross overriding agreements, participation agreements, farm-in and farm-out agreements, unit agreements, production sharing agreements, sale and purchase agreements, assignments, pooling agreements and any other documents and agreements granting, reserving or otherwise conferring rights to (i) explore for, drill for, produce, take, use or market Hydrocarbons, (ii) share in the production of Hydrocarbons, (iii) share in the proceeds from, or measured or calculated by reference to the value or quantity of, Hydrocarbons which are produced, and (iv) rights to acquire any of the rights described in items (i) to (iii) of this definition, and (b) any and all agreements (i) by virtue of which P&NG Rights or Tangibles were acquired or constructed or held, (ii) to which the construction, ownership, development of P&NG Rights or Tangibles are subject, or (iii) which grant rights which are or may be used in connection with P&NG Rights or Tangibles.
Title and Operating Documents means, in respect of any of the Petroleum and Natural Gas Rights, the Tangibles or the Surface Interests, all documents of title (including, without limitation, the Leases, permits, operating agreements, unit agreements, pooling agreements, trust declarations, gas and liquid sales agreements, agreements for the construction, ownership and operation of the Tangibles, gathering, transportation and processing agreements) by virtue of which such Petroleum and Natural Gas Rights, Tangibles and Surface Interests are held or were acquired by the Vendor;

Title and Operating Documents means, in respect of any Petroleum and Natural Gas Rights, Tangibles, or Surface Rights of Invasion, (i) all of the agreements, contracts, instruments and other documents (including the Leases and all other leases, reservations, permits, licences of all sorts, exploration agreements, operating agreements, unit agreements, pooling agreements, assignments, trust declarations or other agreements to recognize Invasion's interests, participation agreements, farmin or farmout agreements, royalty agreements, purchase agreements and transfers, (A) gas, oil, condensate and other production sale contracts, (B) gathering, common stream, extraction, transportation, refining and processing agreements, (C) agreements for the construction, ownership and/or operation of Tangibles) by virtue of which such Petroleum and Natural Gas Rights or Tangibles were acquired or constructed or are held by the Invasion or pursuant to which the construction, ownership, operation, exploration, exploitation, extraction, development, production, transportation, refining or marketing of such Petroleum and Natural Gas Rights, Tangibles or Petroleum Substances are subject or which grant rights which are or may be used by the Person in connection therewith, and (ii) the rights (except for Petroleum and Natural Gas Rights) granted under or created by such agreements, contracts, instruments and other documents; but only if the foregoing pertain in whole or part to Petroleum Substances within, upon or under the Lands.
