Title Materials shall have the meaning specified in the definition of Permitted Liens.

Title Materials means each owner’s title insurance policy, property searches, title deeds, replies to legal requisitions to the governmental/statutory authorities or other evidence or report from any Governmental Entity or third party, if any, showing title to the Company Real Property, together with copies of all documents affecting title to such Company Real Property as shown therein, and, in relation to the England and Wales Properties shall mean all deeds and documents necessary to prove good and marketable title of the Companies and the Subsidiary to the England and Wales Properties.

• The Parties agree that the matters set forth in Annexes J and K, and Buyer’s delivery to Seller thereof do not constitute Defect Notices hereunder, and instead, the Title Materials and Environmental Materials in respect of the matters set forth in Annexes J and K shall be deemed to be Post-Cutoff Materials delivered to Buyer on the date of this Agreement.

• Furthermore, the Liens shall not constitute Permitted Exceptions regardless of whether they are disclosed by the Title Materials or objected to by Purchaser, and Purchaser shall have no obligation to object to the Liens under subsection ii or iv.

• Purchaser shall endeavor to deliver the Purchaser’s Objections in a reasonably expeditious manner and on a property-by-property basis commencing no later than the date hereof and thereafter as soon as reasonably practical after the date Purchaser receives the applicable portion of the Title Materials.

More Definitions of Title Materials

Title Materials shall be as defined in Section 5.1.

Title Materials means the most recent existing fee or leasehold title insurance policy issued to any Target or Subsidiary for each Property, together with a current title search, and the most recent survey in respect of each Property in the Sellers’ possession or control, each of which shall be made available to the Buyer as soon as reasonably practicable but in no event later than fifteen Business Days after the date hereof.

Title Materials has the meaning set forth in Section 4.2(a).
