Underlying Works definition

Underlying Works means any and all materials or other creative contributions embodied in the Program, including scripts, sound recordings, musical works, literary works, dramatic works, artistic works, cinematograph films, photographs, patents, designs, trade marks, performances or other contribution of services.
Underlying Works means all tangible information and developments that: (i) had already been conceived, invented, created, or acquired by EDS or third parties prior to the Signing Date and were not conceived or created for Kellwood's use or benefit in connection with this Agreement; or (ii) were conceived, invented, created, or acquired, by EDS or third parties after the Signing Date, but only to the extent such information and developments do not constitute Work Product hereunder. An Underlying Work includes all intermediate and/or partial versions thereof, including all source code and object code with respect thereto, and all designs, specifications, inventions, discoveries, improvements, materials, program materials, software, flow charts, notes, outlines, lists, compilations, manuscripts, writings, pictorial materials, schematics, other creations, and the like, whether or not patented or patentable or otherwise protectable by law. "EDS Underlying Works" are those conceived, invented, created, or acquired by EDS, rather than by a third party.

"Contractor Underlying Works" are those conceived, invented, created, or acquired by Contractor, rather than by a third party.

  • Notwithstanding anything to the contrary contained in this Agreement, including in this Section 12.1, ACS shall be the sole and exclusive owner of all ACS Underlying Works and all Derivative Works thereof that do not contain Work Product (“ACS Derivative Works”).

More Definitions of Underlying Works

Underlying Works means all works of authorship fixed in any tangible medium of expression that: (a) had already been conceived, invented, created or acquired by Contractor or a third party prior to the effective date of this Contract and that were not conceived, invented or created for Metro’s use or benefit in connection with this Contract; or (b) are conceived, invented, created or acquired by Contractor or a third party after such effective date, but only to the extent such works of authorship do not constitute Work Product. Underlying Works means all computer programs (and all configurations and set-ups of any such program and all templates reflecting same), and other developments and all intermediate and/or partial versions thereof, including all source code, object code and documentation with respect thereto, and all designs, specifications, inventions, discoveries, improvements, ideas, know-how, techniques, materials, program materials, software, flow charts, notes, outlines, lists, compilations, manuscripts, writings, pictorial materials, schematics, other creations, and the like, whether or not patented or patentable or subject to copyright, or otherwise protectable by law, that: (i) Provider already owns prior to the Contract Signing Date, or (ii) over which Provider or its personnel obtain ownership after the Contract Signing Date, independent of Investors or the Services to be provided under this Agreement (other than Work Product).

"Work Product" means all works of authorship fixed in any tangible medium of expression (including, without limitation, computer programs), and all intermediate and partial versions thereof, as well as all source code, object code, documentation, formulae, processes, algorithms, designs, specifications, inventions, discoveries, concepts, improvements, ideas, know-how, techniques, materials, program materials, software, flow charts, notes, outlines, lists, compilations, manuscripts, writings, pictorial materials, schematics, apparatus, methods, techniques, other creations, and the like, whether or not patented or patentable or subject to copyright, or otherwise protectable by law, that are created, invented or conceived for the use or benefit of City in connection with this Agreement: (a) by any Contractor personnel, any City personnel, where "personnel" includes employees, contractors (including, in the case of Contractor, Subcontractors), agents and the like; (b) any Person who was an employee of City and ...
