Vendor Materials definition

Vendor Materials means those concepts, ideas, models, know-how, software, methodologies, technologies or techniques owned by Vendor that were not or are not created, developed or supplied specifically to Bank.
Vendor Materials. Any materials, documentation, manuals, guidelines, business processes, methodologies, database rights, inventions, designs, drawings, confidential information or other items licensed or owned by Vendor and used by Vendor to perform the Services, excluding Vendor Software, Commissioned Work, New IP Materials, USAC Materials, and USAC Software.

  • Notwithstanding the foregoing, Vendor will retain ownership of all pre-existing Vendor Materials that are incorporated into the Commissioned Works.

  • During the term of this Agreement, and for a period of two years after the termination of this Agreement, Client shall not permit third parties to have access to any confidential or proprietary information of Vendor, including Vendor Materials, without first obtaining Vendor’s written authorization, which authorization shall not be unreasonably withheld but may be conditioned upon such third party’s execution and delivery of a confidentiality agreement acceptable to Vendor.

  • Client shall not decompile, disassemble, or reverse engineer Vendor Materials or attempt to discover source code or other information concerning the Vendor Materials including, without limitation, its design.

  • During the term of this Agreement, Vendor grants to Client, its successors and assignees, a non-exclusive license to use Vendor Materials in connection with the use and maintenance of the Client’s Program and Subscriber websites, consistent with the terms of this Agreement.

  • Except as set forth in this Section, Vendor shall retain all Intellectual Property Rights in Vendor Materials and Vendor Software.


More Definitions of Vendor Materials

Vendor Materials means any of the following, in each case provided to the Company or used by or on behalf of Vendor in connection with the Service Agreement: Vendor assets, work product, Vendor Software, Services or any other item, information, system, deliverable, software or service. Vendor Personnel means the employees of Vendor and Vendor Agents who perform any Services.
Vendor Materials means: (1) the Vendor Software; (2) Vendor Confidential Information; (3) materials (including related customizations, modifications and training materials) that reflect or incorporate ideas from Vendor Software or Vendor Confidential Information; and (4) all modifications, enhancements and derivative works of (1) – (3) without regard to whether such modifications, enhancements and derivative works were developed by Vendor or jointly by Vendor and Customer or Customer Designees.
Vendor Materials means any proprietary materials, software, code, and/or documentation made available to the Client by TransUnion or its Third-Party Service Provider in conjunction with the Behavioural Analytics Service.

Vendor Materials means all software, designs, plans, source and object code, data and technical information; and all VENDOR Marks; in each case as incorporated into the Platform or as used by VENDOR in performing the Services.
