[END OF ATTACHMENT A] <PAGE> EXECUTION COPY ATTACHMENT B CONFIDENTIALITY AGREEMENT This Confidentiality Agreement ("Agreement") is made and entered into in Cincinnati, Ohio as of December 5, 2002 ("Effective Date"), by and between Convergys Corporation, its affiliates and subsidiaries, an Ohio corporation with offices located at 000 Xxxx Xxxxxx Xxxxxx, Xxxxxxxxxx, Xxxx 00000 ("Convergys") and American Cellular Corporation,, its affiliates and subsidiaries, with offices located at 00000 Xxxxxxxx Xxx, Xxxxxxxx Xxxx, Xxxxxxxx 00000 ("Company"). BACKGROUND Convergys and Company, for their mutual benefit, desire to disclose certain proprietary and confidential information to the other party. Each party desires to protect its proprietary and confidential information and to prevent other persons and entities from acquiring, appropriating or discovering its proprietary and confidential information.

  • Publisher shall reimburse RHD its reasonable costs incurred as a result of any such scheduling changes, in accordance with the Work Request Process.

  • The Parties shall use the Work Request Process if a change of vendor is requested or becomes necessary.

Related to Work Request Process

  • Work request means a document prepared by the Contractor which describes over and above work being proposed.

  • Change Order Request means a written request or proposal for a Change Order submitted by either Company or Contractor and including:

  • RFP Process or “Bidding Process” means the process governing the submission and evaluation of the Bids as set out in the RFP itself;

  • L/C Request has the meaning specified in Section 2.4(b).

  • Procurement Process means the process commenced by the issuing of this Invitation and concluding upon the award of a contract (or other outcome as determined by Tetra Tech International Development) or upon the earlier termination of the process

  • E-Auction Process /”E-Auction” shall mean the electronic auction process for sale of the Company conducted in accordance with the provisions of IBC, Liquidation Process Regulations, Applicable Law(s) and this E- Auction Process Information Document inviting Bid from the Bidders for consummating the sale of Company on going concern basis in accordance with the provisions of IBC and Liquidation Process Regulations;

  • Request to Proceed means the written request from Recipient to the OPWC submitted pursuant to Section IV of this Agreement. "State" means the State of Ohio.

  • Draw Request Any request by the Borrower, pursuant to Section 2.2 of this Agreement, for a disbursement of any portion of the proceeds of the Loan.

  • Advance Request Form means a certificate, in substantially the form of Exhibit A, properly completed and signed by Borrower requesting an Advance.

  • Access Service Request (ASR) means the industry standard form used by the Parties to add, establish, change or disconnect trunks for the purposes of Interconnection.

  • Support Request means a request for assistance received by Blackboard's Service Desk and/or Service Desk Infrastructure from an Authorized User, such as any answered phone call, answered email, or answered chat.

  • Service Request means a request for service such as adds, moves, changes and technical assistance;

  • New Service Request means an Interconnection Request, a Completed Application, or an Upgrade Request.

  • Commercial use request means a re- quest from or on behalf of one who seeks information for a use or purpose that furthers the commercial, trade, or profit interests of the requester or the person on whose behalf the request is made.

  • Application Process means the online application process under which the Applicant applies for Hospitality Packages on the Webshop.

  • Advance Request means a request for an Advance submitted by Borrower to Lender in substantially the form of Exhibit A.

  • Statement of Work means the description of activities performed in completing the Project, as specified in the Contract and as may be amended.

  • Scope of Work means the description of Services and Deliverables specified in the Contract and as may be amended.

  • Disbursement Request means a disbursement request from the Borrower to the Administrative Agent and the Collateral Agent in the form attached hereto as Exhibit C in connection with a disbursement request from the Unfunded Exposure Account in accordance with Section 2.04(d) or a disbursement request from the Principal Collection Subaccount in accordance with Section 2.18, as applicable.

  • Support Call Process means the support call process applicable to all of our customers who have licensed the Tyler Software. A copy of our current Support Call Process is attached as Schedule 1 to Exhibit C.

  • Notice to Proceed (NTP) means the authorization issued by the CO to start performance on this Contract.

  • Work Order means an individually negotiated document that is executed by both Parties and which authorizes a Project, if any, in an indefinite quantity Contract.

  • Bona Fide Request (BFR) means the process described in Attachment 08 – Bona Fide Request (BFR).

  • Contract Demand means:-

  • Design Services means architect services, engineer services or landscape architect services.

  • Full Notice to Proceed means that all material third party contractors have been given the notice to proceed with construction by the Capacity Market Seller or its agent, with a guaranteed completion date backed by liquidated damages.
