Common use of Suspension and Restriction of Offers Clause in Contracts

Suspension and Restriction of Offers. If the Merchant Partner does not comply with its legal or contractual obligations, RUE DU COMMERCE will be entitled to temporarily or permanently suspend or restrict the distribution of its Offers. This suspension may be exercised without prior notice or compensation, RUE DU COMMERCE will notify the Merchant Partner of the reasons for this suspension. The Merchant Partner can be informed in real time and at any time on his MIRAKL shop of the defect in his quality indicators which led to this decision of suspension or restriction. In this case, €500 in administration costs per suspension will be charged to it. RUE DU COMMERCE will collect these fees by offsetting them against the amounts collected on the Merchant’s behalf. This suspension or withdrawal will in no way release the Merchant Partner from the duty to perform all its obligations towards La Galerie or customers in relation to a previous order. In the event of a serious breach (e.g. proven allegation of counterfeiting, customer legal dispute due to non-delivery entirely attributable to the Merchant Partner), RUE DU COMMERCE would be entitled to withhold any ongoing payment as a guarantee for the Merchant Partner’s liability.
