Illegality. If the Issuer determines that the performance of its obligations under the Certificates has become illegal in whole or in part for any reason, the Issuer may, on giving notice to Holders in accordance with Condition 11, redeem all but not some only of the Certificates. If the Issuer redeems the Certificates early then the Issuer will, if and to the extent permitted by applicable law, and except as may be limited in the case of U.S. Certificates, pay to each Holder in respect of each Certificate held by such Holder an amount equal to the fair market value of a Certificate, notwithstanding such illegality less the cost to the Issuer and/or its Affiliates of unwinding any underlying related hedging arrangements (unless otherwise provided in the relevant Final Terms) as determined by the Calculation Agent in its sole and absolute discretion. Payment will be made in such manner as shall be notified to the Holders in accordance with Condition 11. Should any one or more of the provisions contained in these Terms and Conditions be or become invalid, the validity of the remaining provisions shall not in any way be affected thereby.

If the Issuer cancels or redeems, as the case may be, the W&C Securities then the Issuer will, if and to the extent permitted by applicable law, and except as may be limited in the case of U.S. Securities, pay an amount to each Holder in respect of each W&C Security, or in the case of Warrants, if Units are specified as applicable in the applicable Final Terms, each Unit, as the case may be, held by such Holder, which amount shall be equal to the fair market value of a W&C Security or Unit, as the case may be, notwithstanding such illegality less, except in the case of Italian Listed Securities, the cost to the Issuer and/or its Affiliates of unwinding any underlying related hedging arrangements plus, in the case of Warrants, if applicable and if already paid by or on behalf of the Holder, the Exercise Price, all as determined by the Calculation Agent in its sole and absolute discretion. Payment will be made in such manner as shall be notified to the Holders in accordance with Condition 10. Illegality. If the Issuer shall have determined in good faith that the performance of any of its obligations under the Securities or that any arrangement made to hedge its obligations under the Securities shall have or will become, in whole or in part, unlawful, illegal or otherwise contrary to any present or future law, rule, regulation, judgment, order, directive, policy or request of any governmental, administrative, legislative or judicial authority or power (but, if not having the force of law, only if compliance with it is in accordance with the general practice of persons to whom it is intended to apply), or any change in the interpretation thereof (an "Illegality"), then the Issuer may, if and to the extent permitted by applicable law, either (a) make such adjustment to the Conditions as may be permitted by any applicable Asset Terms or
Illegality. (1) Nel caso in cui una Parte Finanziatrice venga a conoscenza del fatto che la partecipazione della stessa al Finanziamento o l'adempimento degli obblighi dalla stessa assunti ai sensi del Contratto violano disposizioni di legge alla stessa applicabili, la Parte Finanziatrice medesima ne darà pronta comunicazione scritta al Beneficiario e all’Agente nelle modalità di cui all’articolo 22.2. A seguito di tale comunicazione, la Parte Finanziatrice ed il Beneficiario collaboreranno in buona fede per adottare nel più breve tempo possibile le modifiche contrattuali necessarie per conservare il presente Contratto e/o i suoi effetti. Qualora ciò non fosse possibile il Beneficiario dovrà rimborsare integralmente, nel termine di 180 (centoottanta) Giorni Lavorativi dal ricevimento di tale comunicazione (o comunque entro il termine massimo consentito dalla disposizione di legge rilevante), gli Utilizzi del Finanziamento in essere relativamente alla Quota di Partecipazione della Parte Finanziatrice che ha inviato la comunicazione ed effettuare immediatamente il pagamento dei relativi interessi maturati e di ogni altro relativo importo dovuto ai sensi del Contratto.
