FINAL PROVISIONS. The costs of Tender preparation and participation in the Tendering Process shall not be compensated to the Suppliers. FINAL PROVISIONS. 10.1. The Contract shall come into effect on the day of its signing and continue in full force and effect for a term all undertakings under this Contract are fulfilled.
10.2. The Contract within a term of its validity can be modified if the main concept of the Contract has not been changed substantially and total value of separate changes does not exceed 10 per cent of the Contract Value.
10.3. The Parties may amend or modify the Contract only by the mutual agreement between both parties. Any such amendments become effective only when executed writing and duly signed by both parties.
10.4. Disputes between Parties, which appear in the process of execution of this Contract, shall be solved by negotiations. If a dispute is not solved amicably in one month from the first notice on the dispute subject, then disputes shall be transferred to the court according to the laws of the Republic of Lithuania.
10.5. This Contract shall be governed by the law of the Republic of Lithuania.
10.6. Should any provision of this Contract partly or in full become void for whatsoever reason, the validity of the remaining provisions shall thereby not be affected. In such a case, the Parties shall agree on replacement of the ineffective provision by a legally effective one which in its consequences shall approximate the ineffective provision in economic and legal meaning as closely as possible.
10.7. The Parties undertake to keep all the information received in the course of fulfilment hereof confidential and not to disclose it to any third parties, except to the extent provided for herein or in applicable laws.
10.8. The Contract is made in two equally binding counterparts, in English and in Lithuanian. Each Party receives one copy of the Contract. In case of any disagreement with regard to different interpretation of the text of the Contract, the Lithuanian version of the Contract shall prevail.
FINAL PROVISIONS. 11.1. Suppliers shall not be compensated for their costs of participation in the procurement procedure.
11.2. At any time before the award of the contract the Contracting Authority shall have the right to terminate the tendering procedures if special circumstances arise that could not have been foreseen in advance. Following the decision to terminate the procurement procedures, the Contracting Authority no later than in 3 business days from the decision shall communicate this decision to all Suppliers who have submitted their tenders, and if the procurement procedures are terminated before the final due date for the submission of tenders, then, to all Suppliers who have purchased the tendering procedure documents and/or the procurement documents. If the procurement terms and conditions and/or procurement documents are publicly available (e.g. announced on the internet website), the announcement of termination of procurement procedures shall be also announced on this website.
11.3. Information submitted in the tender offers, with the exception of the information announced at the envelope opening meeting, shall be not announced to the Suppliers and third parties with the exception of the parties administering and auditing the use of the EU structural fund assistance and its procedures.
11.4. No later than in 3 business days after the contract award the Contracting Authority shall inform in writing all Suppliers who have submitted their tenders, of the contract award, by indicating the successful Supplier.

FINAL PROVISIONS. 1. Disputes between Parties, which appear in the process of execution of this Contract, shall be solved by negotiations or shall be transferred to the court.
2. The law of the Republic of Lithuania shall govern the relations arising from this Contract.

12.2 The purchaser shall have the right to terminate the procurement procedures at any time prior to the conclusion of the purchase contract if circumstances have arisen which could not be foreseen. Having taken the decision to terminate the procurement procedures, the buyer shall notify all tenderers, who have submitted the tender, of this decision no later than 3 working days after the decision is taken, and if the procurement procedures are terminated before the deadline for the submission of the tenders, for all suppliers, who have acquired terms and / or purchase documents. FINAL PROVISIONS. 12.1. The Contract shall enter into force only upon signature by the authorized representatives of both Parties and shall be valid until full and complete fulfillment of the obligations of the Parties provided therein, unless terminated in the grounds and according to the procedure previously established therein.
12.2. These Annexes to the Contract are an integral part of the Contract:
12.2.1. Annex No 1 - Copy (copies) of Supplier‘s offer (s);
12.3. In the event of discrepancies or contradictions between the text of this Contract and the Annexes to the Contract, the Contract text shall prevail.
12.4. The Contract may be amended or supplemented by a separate written agreement of the Parties. The essential terms of the Contract (specification of the purchased goods and related services, the Contract price, etc.) cannot be changed, if:
12.4.1. they are replaced providing new conditions, which, in case if they would be determined in the tender documents, would give the possibility to participate in the tender procedures for other suppliers than the suppliers that participated;
12.4.2. they are replaced providing new conditions, for which, in case if they would be determined in the tender documents, the proposal of other supplier than the chosen supplier could be recognized as a winner
12.4.3. he object of the purchase is changed so that new (additional) goods, services or works are included in the Contract;
12.4.4. The economic balance of the Contract changes for the benefit of the Seller in a manner not specified in the initial Contract terms.
12.5. The Contract is made up of two copies of equal legal force, one for each Party.
12.6. The appointed representatives of the Parties shall also be responsible for the supervision of the execution of the Contract, including organization of delivery, installation, preparation for use and transfer-acceptance of

13.2. The buyer has the right to terminate the procurement procedure at any time before the award of the contract if circumstances have arisen which could not have been foreseen. Where the buyer has taken a decision to terminate the procurement procedure, the buyer shall, within 3 working days of taking the decision, inform all suppliers who have submitted tenders and, where the procurement procedure is terminated before the deadline for the submission of tenders, all suppliers who have purchased the contract and/or the contract documents of that decision. Where the contract terms and/or the contract documents are published in the public domain (e.g. on a website), a notice of termination shall also be published there.
13.3. The information contained in the tenders, other than that published at the time of the opening of the envelopes, shall not be disclosed to suppliers or to third parties, other than those administering and auditing the use of EU Structural Funds.
13.4. The purchaser shall inform in writing all the suppliers who have submitted tenders of the award of the contract, specifying the supplier to whom the contract has been awarded and the contract price, no later than 3 working days after the award of the contract.
