Force Majeure. The Company shall not be liable for any failure to deliver or delay in the performance of the Contract or in the delivery or shipment of the Products, or for any loss or damages suffered by Buyer by reason of such delay, if such delay is, directly or indirectly caused by, or in any manner arises from events and causes beyond the Company’s reasonable control, including but not limited to accidents, acts of God, acts and omissions of any governmental authority, declared or undeclared wars, terrorism, explosions, strikes or other labor disputes, fires and natural calamities (including floods, earthquakes, storms and epidemics), changes in the law, and delays in obtaining (or the inability to obtain) labor, materials or services through the Company’s usual sources at normal prices, riots, embargoes, fuel, power, materials or supplies, delay or default of common carriers, transportation delays, or without limiting the foregoing, any other cause or causes, whether or not similar in nature to any of these herein before specified or which are beyond its reasonable control. The Company shall have the additional right, in the event of the happening of any of the above contingencies, at its sole option, to cancel any Order or any part thereof without any resulting liability or to extend the date of delivery for a period equal to the time actually lost by reason of the delay. Further, in the event that the Company is not able to produce enough Products to satisfy all outstanding Orders for any reason, the Company retains the right, in its sole discretion, to allocate its products amongst its customers.
Force Majeure. Either of the parties may suspend performance during the occurrence of an event of force majeure, which shall mean any delay directly or indirectly caused by, or in any manner arises from events and causes beyond the such party’s reasonable control, including but not limited to accidents, acts of God, acts and omissions of any governmental authority, declared or undeclared wars, terrorism, explosions, strikes or other labor disputes, fires and natural calamities (including floods, earthquakes, storms and epidemics), changes in the law, and delays in obtaining (or the inability to obtain) labor, materials or services through such party’s usual sources at normal prices, riots, embargoes, fuel, power, materials or supplies, delay or default of common carriers, transportation delays, or without limiting the foregoing, any other cause or causes, whether or not similar in nature to any of these herein before specified which are beyond its reasonable control. The Company shall be entitled to, at its sole option, cancel any Order or any part thereof without any charge or penalty and/or obtain the Products covered by the Order from other sources for the duration of the Seller’s inability to perform due to the occurrence or an event of force majeure and to reduce the quantity of the Products specified in any Order without charge or penalty. The Company may also terminate, with intimation to the Seller, the total Order if the force majeure event has been in effect for a period beyond 3 months.
Force Majeure. 不可抗力 Neither party shall be liable by reason of any failure in the performance of its obligations under this Agreement if such failure arises out of a cause beyond the control of, and without fault or negligence by, that party. Provided that, if the cause continues to prevent performance of the obligations being fully resumed within 28 days, the other party shall be entitled to terminate the Agreement. 任何一方由于人力无法控制的原因而非该方的疏忽或过失导致无法履行协议规定的义务,都将免除责任,假如28天内仍未完全恢复履行协议,另一方则有权终止本协议。
Force Majeure. A “Force Majeure Event” means an event the occurrence of which is beyond the control of the parties, and is unforeseeable or, if foreseen, unavoidable, including without limitation war, fire, flood, typhoon and earthquake. If any party is unable to perform its obligations under this Order as a result of a Force Majeure Event, the performance of its obligations shall be suspended while the Force Majeure Event subsists, and the due date for the performance shall be automatically extended for a period equal to such suspension. The party encountering a Force Majeure Event shall promptly: (a) notify the other party in writing as soon as practicable; and (b) provide the other party with written evidence of the occurrence of the Force Majeure Event. After the occurrence of a Force Majeure Event, the Parties shall promptly discuss with each other to find an equitable solution and shall use reasonable efforts to mitigate the consequences of the Force Majeure Event. In any event, if the Force Majeure Event causes the delivery under this Contract to be delayed for more than thirty (30) days, either Party shall be entitled to terminate this Order without incurring any liability for breach. 40.
Force Majeure. 17.1 While we agree to use our best endeavour to honour our obligations in a timely manner, we will not be liable for any failure or delay in performance of this Agreement which is caused by circumstances beyond our reasonable control including but not limited to any communication, systems or computer failure, market default, suspension, failure or closure, or the imposition or change (including a change of interpretation) of any law or governmental or regulatory requirement and we shall not be held liable for any loss you may incur as a result thereof.
Force Majeure. Seller shall not be liable for any delay in or failure of performance hereunder due to any contingency (such as war, flood, fire, earthquake, storm, snow, government policy or law, other government actions, etc) beyond its reasonable control.
Force Majeure. The Bank shall not be liable for any losses, damages or other consequences arising from its failure to provide the Services due to any circumstances or events beyond the reasonable control of the Bank including, without limitation, failure of any communication network, strikes, lock-outs or other industrial disputes, war, riot, civil commotion, malicious damage, fire, flood, storm, etc..
Force Majeure. The “Force Majeure” shall mean any of the following events that render one party or both parties unable to perform the obligations under this PO: fire, explosion, flood, earthquake and other natural events, war, government acts, riots, or other circumstances beyond the control of both parties, other internationally-recognized force majeure events, and other artificial or natural events beyond the control of both parties. If either party is unable to perform its obligations under this PO due to the Force Majeure, it shall promptly notify the other part in writing of the occurrence of such events within fifteen (15) days thereof, and provide the written explanation for the inability to perform its obligation.
Force Majeure. 若客户或供货商或其为履行供货合同委托或合作的分包商、供应商或第三方,因不可抗力(如包括政治性罢工、停工、战争或自然灾害等类似情况)影响准时供货/服务或仅可供应部分订单供货/服务时,客户有权全部或部分撤销订单或货品/服务,及签订的订单或仅要求在之后的某一日期提供部分订单,供货商对此无任何申诉权。
