Add-ons. The ownership of the Add-ons developed by Provider shall vest in Provider or the Customer as provided in the Customer Services Agreement subject to SAP’s rights in and to the Software. Provider may copy and may include Redistributable Files in Add-ons. Any Provider created Add-ons that contain Redistributable Files must not be made (directly or indirectly) subject to an Excluded License. In the event Provider distributes or makes available Add-ons to third parties, Provider will indemnify SAP, SAP SE and their affiliated companies against any and all claims brought against them (individually or jointly) arising from Licensee’s development and distribution of such Provider Add-on. In exchange for the right to develop Add-ons under this Agreement, Provider covenants not to assert any Intellectual Property Rights in Add-ons created by Provider against any SAP product, service, or future SAP development.
Add-ons. Subject to the terms and conditions of this Agreement, UiPath further grants Customer and its Affiliates, during the License Term, the right to develop Add-ons by using the Technology, provided that, to the extent there is any UiPath Background IPR in the Add-ons, (i) use of the UiPath Background IPR is limited to the License Term, and (ii) Customer is not allowed to use the UiPath Background IPR and will not allow its Authorized Users or any third party to use the UiPath Background IPR for (a) benchmarking or comparison purposes, or (b) to acquire any technical specifications or gain a competitive technological or business advantage, or (c) to analyze the Technology and the Background IPR for the purpose of designing, modifying, creating a derivative work or creating any software program that performs functions similar to the functions performed by the UiPath Background IPR used in conjunction with the Add-ons.
Add-ons. (a) Partner may make Add-ons to the Software in furtherance of its permitted use under the Agreement. Partner may distribute or sublicense Add-ons with the Software only to the same extent as that applied to Partner’s grant of the Software set forth herein. All Add-ons developed by SAP or its Affiliates (either independently or jointly with Partner) and all rights associated therewith are the exclusive property of SAP and its Affiliates. Partner agrees to execute those documents reasonably necessary to secure SAP or its Affiliates’ rights in the foregoing. All Add- ons developed by or on behalf of Partner without SAP or its Affiliates’ participation (“Partner Add- on”), and all rights associated therewith, are the exclusive property of Partner subject to SAP’s rights in and to the Software and SAP Materials.
(b) Any Add-on to the Software developed by Partner must not (and subject to other limitations set forth herein): enable the bypassing or circumventing any of the restrictions set forth in the Agreement and/or provide Customers with access to the Software to which Customers are not directly licensed; nor unreasonably impair, degrade or reduce the performance or security of the Software; nor disclose any SAP Confidential Information.
Add-ons. The provisions of Section 8.3 shall apply accordingly to Add-Ons. Provider may copy and may include Redistributable Files in Add-ons. Add-ons a. Your membership can be upgraded with optional Add-ons. These can vary per club. Current information, including rates for the extras, can be found on the mobile app, on xxx.xxxx.xx, or can be requested in the club.
b. Il xxxxx healthcenters aims to ensure that Add-on services are provided as smoothly as possible. Malfunctions may lead to restriction of services. il xxxxx healthcenters is not liable for such malfunctions, nor do such malfunctions provide the rights to reimbursement, discount or mitigation of the membership fee. Add-on malfunctions or restrictions will be resolved by il xxxxx healthcenters as soon as possible.
c. The Add-on is strictly personal and linked to the main membership. In case of excessive or improper use, il xxxxx healthcenters may impose restrictions to the use of the Add-on. Additionally, In that case, il xxxxx healthcenters is entitled to terminate the membership immediately and claim a penalty of a minimum of €50.
d. The Add-on is activated immediately, so you can use it right away. If you opt for a membership with a payment every 4 weeks, the Add-on costs will be added to your membership, so both amounts will be collected at the same time. If you take an Add-on after the effective date of your membership, a prorated amount of the fee for the Add-on is payable for the period between activation and the first day of the subsequent period of 4 weeks, with a minimum of €0.75. When you opt for a membership with full payment in advance, the costs for the Add-on are payable along with the membership fee.
e. The Add-on live groepslessen (live classes) allows you to join live classes without limitation within the times of your membership at il xxxxx healthcenters clubs where these classes are being offered. Each live class has a limited number of participants (fully booked=fully booked). You are required to make a reservation for the live classes through our app.
f. The Add-on ‘Yanga Sportswater’ allows you to top up your bottle with Yanga Sportswater without limitation. A reasonable interval time is required between two draws from the dispenser. Make sure your bottle can contain 500 ml.
g. Each Member can buy a Personal Training introduction at the club. Il xxxxx healthcenters outsources the introduction session to an organisation that facilitates the Personal Training at the club.
h. The Member may terminate the Add-on agreement on the date when the minimal agreement duration of 1 paid period has passed. If several Add-on agreement...
Add-ons. $2.00 / Foot Per month, for extra electric and water for any boat (ex. Repairs, extra outlet, A/C always running)
Add-ons. 10.1 UBS shall be entitled to add to the number of Permitted Users of the Cloud Services or otherwise vary the usage metric or procure additional cloud-related products from Supplier (including different platform versions) from time to time. Any such variations shall be documented by way of written variation agreement to the Supply Order and the Charges payable pursuant to the Supply Order shall be adjusted accordingly.
Add-ons. Productions or shows other than the main event, after the main event has ended and is, to the viewer, listed as a separate show.
Add-ons. Add-on orders will not be accepted. Additions to orders will be entered as separate stand- alone orders and must qualify for all terms of sale, including discounts, on an individual basis.
Add-ons. For any extra excursions and/or attractions the PLUS Add-on form needs to be submitted 45 days before arrival. When filling out the form all procedures and relevant payments terms need to be followed. It is understood that in case the terms are not followed, no booking will be processed and at no time can the Partner request compensation. The Partner can request a specific date or time for when the excursion or attraction needs to take place but PLUS cannot guarantee the dates, as all bookings are subject to availability. In the event that desired dates are not available, PLUS will inform the Partner and any payment made can be used as credit for another extra excursion/attraction or can be refunded. PLUS assumes no responsibility for any changes to the above nor be asked to pay any difference in costs for alternatives that the Partner may be booking.
