Additional Landlord Obligations. A. Landlord agrees to fully and timely comply with all notice requirements in Section 19.5 of the Management Agreement for a Hotel Transfer relating to Landlord’s interest in the Leased Property. Landlord further agrees that Landlord will not have any right to enter into a Hotel Transfer relating to Landlord’s interest in the Leased Property unless Landlord first provides notice to Manager as required in Section 11.3 of the Management Agreement.
Additional Landlord Obligations. A. Landlord agrees to fully and timely comply with all notice requirements set forth in Section 10.02 of the Management Agreement with respect to a Sale of the Hotel. Landlord further acknowledges and agrees that any failure by Landlord to timely provide notice to Manager as set forth in Section 10.02 of the Management Agreement with respect to a Sale of the Hotel shall extinguish any right of Landlord to enter into such Sale of the Hotel until such notice is timely provided.
Additional Landlord Obligations. Prior to the Commencement Date, and simultaneously in conjunction with Tenant’s Work, Landlord shall complete the Landlord’s Work and Landlord Turnover Obligations. Landlord shall be permitted access to the Premises to perform the Landlord’s Work and Landlord Turnover Obligations upon reasonable prior written notice to Tenant and shall use commercially reasonable efforts to minimize any disruption to the performance of Xxxxxx’s Work and to reasonably cooperate with Xxxxxx’s contractor(s) that are performing Tenant’s Work, subject to the requirements of Section 8(g). Notwithstanding anything to the contrary contained herein, if Landlord does not complete the Landlord’s Work and Landlord Turnover Obligations prior to the Commencement Date for any reason, then Tenant will receive a day-for-day abatement of Rent (to be applied to Tenant’s payments of Rent following expiration of Rent Abatement Period) for each day beyond the Commencement Date that Landlord’s Work or Landlord’s Turnover Obligations continues. Tenant shall notify Landlord of any patent or latent defects to the Landlord Turnover Obligations or Landlord’s Work within one (1) year of the Possession Date and upon receipt of any such notice, Landlord shall cure such patent or latent defect within a reasonable period of time. Failure by Tenant to provide notice of any such patent or latent defects to the Landlord Turnover Obligations and Landlord’s Work within such period shall be conclusive evidence that all of Landlord’s Turnover Obligations have been met and Landlord’s Work has been completed.
Additional Landlord Obligations. The Landlord agrees that the Tenant shall be entitled to make application for and process any and all land use approvals and entitlements from government agencies with jurisdiction over the Premises, which the Tenant deems necessary for the Tenant’s intended improvements of the Premises (the “Approvals”), subject to the Landlord’s prior consent to such Approvals. Such processing shall be at the Tenant’s expense. If the Landlord consents to such Approvals, the Landlord shall cooperate fully with the Tenant in the processing of Approvals but shall not be required to incur any expense in doing so. Such cooperation shall include, without limitation, joining with the Tenant in the execution of all applications for Approvals, together with any document related thereto.
