Additional Prohibitions. If a school employee, contractor or agent knows or has reason to know that another school employee, contractor or agent has engaged in sexual conduct or abuse, the school employee, contractor or agent may not assist the other in obtaining a new job. This prohibition does not apply if the employee, contractor or agent knows or has reasonable cause to believe that the conduct was reported to the appropriate agency and was resolved, or the inestigation remains ongoing after four years. Additional Prohibitions. Neither Tenant nor its subtenants, licensees, volunteers, employees, guests, or invitees shall act in any manner that would interfere with, or be a nuisance to, other subtenants, occupants, or invitees of the Premises, or adjacent property owners, or adjacent tenants, or that would interfere with those other parties' quiet enjoyment of their premises. Said prohibition includes, but is not limited to, loud noises, loud music, noxious or unpleasant odors, and disruptive behavior or actions. Tenant shall not permit any portion of the Premises to be used in a manner that may endanger the person or property of Landlord, co-tenants, or any person living on or near the Premises. Tenant shall keep all portions of the Premises in a clean, safe, sanitary, and habitable condition.
Additional Prohibitions. Vendor certifies that it shall not, and will not knowingly, after reasonable inquiry, subcontract with, any of the following: (a) Persons employed by the County or by any public agency for which the Board of Supervisors of the County of Orange is the governing body; (b) Profit-making or businesses in which employees described in sub-section (a) serve as officers, principles, or major shareholders (c) Persons who, within the immediately-preceding twelve (12) months came within the provisions of paragraphs (a) or (b) and who (i) were employed in positions of substantial responsibility in the area of service to be performed under this Agreement, or (ii) participated in my way in developing this Agreement or its service specifications; and (d) Profit-making or businesses in which the former employees described in paragraph (c) serve as officers, principals, partners, or major shareholders.
Additional Prohibitions. In accordance with applicable law, neither the Employer(s) nor the Union shall discriminate in a manner which would violate federal or state laws against any employee covered by this Agreement because of race, creed, color, national origin, sex, age, religion, mental or physical handicaps, political beliefs, marital status, union activities or non-union activities.
Additional Prohibitions. The Boater covenants and agrees that: (i) no refuse of any kind shall be thrown overboard nor left on the Boat, in the Marina Areas or at Ontario Place. The Boater shall deposit garbage in the bins supplied for that purpose; (ii) no advertising or soliciting shall be permitted in, on, or from the Marina Areas or any other location at Ontario Place by the Boater without the prior written approval of the Marina; (iii) supplies, accessories, debris or other materials shall not be stored in the Marina Areas or any other location at Ontario Place and the Boater shall not construct thereon any lockers, chests or other structures; (iv) painting, scraping or repairing of gear shall not be permitted in the Marina area or any other location at Ontario Place. The extent of repairs and/or maintenance to be made in any case shall be in the sole discretion of the Marina; (v) the Boat’s toilets and holding tanks shall not be flushed in the Marina Areas. All toilet and holding tank waste must be disposed of in accordance with proper Marina procedures; (vi) no oil, inflammable liquids, oily bilges or other liquids shall be discharged in the Marina Areas; (vii) only propane fuelled marine barbecues properly mounted are permitted for use within the Marina. All other open flame barbecue fires are prohibited for use on the docks, within the confines of the Marina Areas, or at any other location at Ontario Place; (viii) noise shall be kept to a minimum at all times and the Boater shall exercise good judgment in the operation of generators, engines, radios, etc. so as not to cause a nuisance to others; (ix) swimming shall not be permitted in the Xxxxxx xxxxxx or from the sunken ship breakwater; (x) laundry shall not to be hung out on boats, docks, piers or other structures in the Marina Areas or any other location at Ontario Place; and (xi) personal items, such as chairs, dock boxes, coolers etc. shall not be left on the docks without prior written approval of the Marina. If items are left on the dock without permission from the Marina, the Marina reserves the right to remove the items and notify the Boater, at which time the Boater will have seven (7) days to pick up items or the Marina will dispose of the items at the Boater’s cost.
Additional Prohibitions. Borrower shall not, without the prior written consent of Lender: (a) increase the aggregate existing base remuneration of key management as described on Schedule 6.16(a) by an amount in excess of five percent (5%) per annum; (b) acquire, or enter into any contracts contemplating the acquisition of a majority of the assets and Properties or ownership interest of any Person or a merger with any Person, excluding any such acquisitions that do not exceed $500,000 in the aggregate per annum; (c) except for any renewal of Borrower's existing real property leases or a comparable real property lease at fair market value, and any renewal or replacement of the existing Hedging Contracts in compliance with Section 6.19 below, enter into any material contract, lease or agreement (including without limitation, any financing, or operating lease, or any lease of real property), providing for the payment by Borrower, in each case, of amounts in excess of $100,000 during any year; (d) cause or make capital expenditures (excluding expenditures in subparagraph (b) above, the 2004 and 2005 expenditures for the de-bottlenecking project of TOCC, and the capital expenditures in connection with the Penreco PA) greater than $500,000 in the aggregate during any calendar year; (e) change or alter the locations or nature of any of its business; or (f) materially alter any of the terms and conditions of the Senior Debt or of the Penreco PA, or increase the maximum indebtedness available to Borrower under the Senior Lender Documents, except that Borrower is permitted to increase the amount of the Senior Debt to Amergy to $9,500,000.00; or (g) alter or amend any of Borrower's Organizational Documents, except that SHR shall have the right to change its name; (h) release any Person from a noncompetition agreement in favor of Borrower or fail to take reasonable action to prevent or stop any Person from engaging in conduct that violates a noncompetition agreement in favor of Borrower; (i) file in an office of public records a UCC-3 form or other document releasing or terminating a security interest in favor of Lender covering any Collateral unless and until all obligations of Borrower contained herein and in the Subject Documents have been satisfied; or (j) file in an office of public records a UCC-3 or other document amending a UCC Financing Statement.
Additional Prohibitions. Except to the extent permitted by applicable law (which is incapable of exclusion by agreement between the Parties) or by any Creative Commons open access licence which may apply, Authorised Users must not: 4.5.1 modify the paper or digital copies of the Publications (and any materials they may have printed off or downloaded) in any way, and they must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text; 4.5.2 systematically download or print our content; 4.5.3 use our content to create a derivative work (or to make any translation); 4.5.4 remove, obscure, or change an author’s name or affiliation, our or our licensor’s copyright notices, policies, disclaimers, terms or other means of identification; 4.5.5 include, mount or distribute any of our content in other works (other than legally permitted quotations with an appropriate citation); 4.5.6 use the Publications for the purpose of creating a database; or 4.5.7 knowingly enable, provide, make available, or otherwise help someone else who is not an Authorised User to access or use the Publications or any copies of them (and whether in paper or online format).
