Advisory Function a. The Donor may make distribution recommendations to the Foundation, but the Foundation shall have full discretion as to distributions from the Fund. b. Advisory Function. The expertise gathered under ECHTA should help those starting in the field of HTA. Providing technical support could be done in different ways. In close co-operation with the members of the network, ECHTA could develop printed guides on different aspects of the HTA process, e.g. as the one on methodological aspects developed during the ECHTA/ECAHI project, or the one on priority setting elaborated during the EUR-ASSESS project. These printed guides should have an orientative and practical character, presenting the minimum key elements to be considered when establishing, e.g. a new HTA programme, a priority setting procedure, an educational programme, etc. The utility of such guides has been shown, for example, with the case of the priority setting document from EUR-ASSESS. The aim of these documents should be to help and guide those lacking experience in this complex field. ECHTA would offer assistance to those within the European Union and to those likely to become members of the EU, tailored to their needs. Proposed Functions of ECHTA
Advisory Function. ADVISOR agrees to be available during the Advisory Term and any renewals thereof upon reasonable request by CONFORCE, to advise CONFORCE with respect to CONFORCE’s marketing, business development and establishment of business relationships. During the Advisory Term and any renewal periods, ADVISOR shall report directly to the Chairman of the Board and CEO of CONFORCE or such other senior officer of CONFORCE as shall be designated by the CEO of CONFORCE. ADVISOR shall undertake, on a best-efforts basis, to provide such consultative and advisory services as CONFORCE shall reasonably request in connection with CONFORCE’s business.

Except as provided in Section 1 of the Agreement and the following sentence, the Additional Options shall vest only if ADVISOR is a member of both the Board of Directors and the SAB on such vesting date. Notwithstanding the foregoing, any portion of the Additional Options remaining unvested shall vest upon a Change of Control. “Change of Control” means (i) the acquisition, directly or indirectly, following the date hereof by any person (as such term is defined in Section 13(d) and 14(d)(2) of the Securities Exchange Act of 1934, as amended), in one transaction or a series of related transactions, of securities of the Company representing in excess of fifty percent (50%) or more of the combined voting power of the Company’s then outstanding securities if such person or his or its affiliate(s) do not own in excess of 50% of such voting power on the date of this Agreement, or (ii) the future disposition by the Company (whether direct or indirect, by sale of assets or stock, merger, consolidation or otherwise) of all or substantially all of its business and/or assets in one transaction or series of related transactions (other than a merger effected exclus...

Advisory Function. The FLW World Heritage Council will function as the primary forum for open discussion between the sites and will serve only as an advisory body—its recommendations do not supersede individual site management plans or local, state, or national preservation laws, ordinances, or regulations. Furthermore, it is important to point out that neither UNESCO nor the World Heritage Committee have the judicial authority to compel the United States, this Council, or property owners to take specific actions. The purpose of the World Heritage Committee is to serve as an advisory body promoting international cooperation. This MOA and the attached appendix are strictly for internal use by the FLW World Heritage Council and its participating parties. It is not a legally enforceable contract between the parties and shall not be construed to create any legal obligation on the part of any of the parties.
Advisory Function. CONSULTANT, as a Scientific Advisor to INGENEX, agrees to meet at least monthly to advise INGENEX of advances in his field of expertise, and to consult with INGENEX, assessing the feasibility of development and manufacturing programs under consideration by INGENEX and offering guidance for current and future development and manufacturing of INGENEX's products. CONSULTANT, as a Scientific Advisor to INGENEX, is expected to make innovative and valuable contributions to INGENEX. In order to protect INGENEX's patent rights, any actual research done by CONSULTANT under this Agreement shall be done at INGENEX's place of business or at some other location approved in advance by INGENEX and no such research shall be done by CONSULTANT at his employer's place of business.
