Agreement Not to Solicit Clients. During the Nonsolicitation Period, Employee shall not, except with the Company’s express prior written consent, for the benefit of any entity or person (including Employee) solicit, induce or encourage any customer or client of the Company or a Subsidiary, which during the preceding twelve (12) months of Employee’s employment with the Company or Subsidiary Employee was either involved (directly or indirectly) or about which Employee received Confidential Information, to cease or reduce its business with the Company or a Subsidiary.

Agreement Not to Solicit Clients. The Employee agrees that during his employment by the Company and for five (5) years following the termination, for any reason, of such employment, he will not, without the prior written consent of the Company, either directly or indirectly, on his own behalf or in the service or on behalf of others contact any person or entity who is or had been either a client or business associate of the Company, its affiliates or subsidiaries.
Agreement Not to Solicit Clients. Employee covenants and agrees that during Employee's employment by the Company and for a period of eighteen (18) months after termination of Employee's employment for any reason whatsoever, Employee will not, without the prior written consent of the Company signed by the President of the Company, directly or indirectly, on Employee's behalf or on behalf of a Competing Business, as hereinafter defined, solicit, divert or appropriate, or attempt to solicit, divert or appropriate any of the Company's Clients for whom Employee performed services or otherwise had direct contact, influence and/or responsibility during the twenty-four (24) month period immediately preceding the termination of Employee's employment with the Company (or such shorter period if Employee is employed for less than 24 months) for the purpose of providing services of the type identified in Section 3 (a) hereof. Employee's covenants pursuant to this subsection (b) shall also apply to prospective customers of the Company with respect to which Employee participated in soliciting on behalf of the Company during the twenty-four (24) month period immediately preceding the termination of Employee's employment with the Company (or such shorter period if Employee is employed for less than 24 months).
Agreement Not to Solicit Clients. While employed by the Company or its Affiliates and for eighteen (18) months after termination of all such employment, without the prior written consent of the Company signed by the President of the Company, Employee will not directly or indirectly solicit or call upon any Client or prospective Client (or any employee or independent contractor of any Client or prospective Client) of the Company or any of its Affiliates for purposes of selling or providing any product, equipment or service, competitive or potentially competitive with any product, equipment or service sold, leased, offered for sale or lease or under development by, the Company or any of its Affiliates during the twenty-four (24) month period immediately preceding termination of all of Employee's employment with the Company and its Affiliates, provided that the restrictions set forth in this Section 6(b) shall apply only to Clients or prospective Clients with whom Employee had Material Contact (as defined below) during such twenty-four (24) month period (or such shorter period if Employee is employed by the Company and its Affiliates for less than twenty-four (24) months).
Agreement Not to Solicit Clients. Trainee covenants and agrees that during the period of training and employment by the Company and for a period of Twenty Four (24) months following termination, for any reason, of such training and employment, he/she will not, either directly or indirectly on his/her own behalf or in the services or on behalf of others, (a) solicit, serve for, divert or appropriate to a competing business, (b) attempt to solicit, divert, or appropriate to or for any competing business, or (c) except pursuant to the agreement, agree to provide or accept to provide services of the type and nature that he/she has engaged while being trained and employed by the Company or services which are the same as or essentially the same as the services constituting the business of the Company to or from those persons or entities who have or had, at any time prior to the trainee's departure, a business relationship with the Company.
Agreement Not to Solicit Clients. While Consultant is performing Consulting Services for Company and for a period of 60 months following the Termination Date, Consultant will not solicit, or attempt to solicit, directly or indirectly, on Consultant’s own behalf or on behalf of any other person or entity, any business from Company’s Clients with whom or with which Consultant had material contact, for purposes of providing products or services that are competitive with those provided by Company to Company’s Clients.

  • Agreement Not to Solicit Customers Executive agrees that during Executive’s employment with the Company hereunder and during the Non-Solicitation Period, Executive will not, either directly or indirectly, on Executive’s own behalf or in the service or on behalf of others, solicit, divert, or appropriate, or attempt to solicit, divert, or appropriate, to any business that engages in Restricted Field activities in the Business Territory (i) any person or entity whose account with the Company was sold or serviced by or under the supervision of Executive during the twelve (12) months preceding the termination of such employment, or (ii) any person or entity whose account with the Company has been directly solicited at least twice by the Company within the year preceding the termination of employment (the “Customers”). The Non-Solicitation Period set forth in this Section 11.4 shall be tolled during any period in which the Executive is in breach of the restriction set forth herein.
