Announcements and Press Releases. Any press releases or any other public announcements concerning this Agreement or the transactions contemplated hereunder shall be approved in advance by Vision 21 and the Company; provided, however, that such approval shall not be unreasonably withheld and if any party reasonably believes that it has a legal obligation to make a press release and the consent of the other party cannot be obtained, then the release may be made without such approval.
Announcements and Press Releases. (a) The Parties agree that, upon execution of this Agreement, CIC on the one hand and the Trust and PWPL on the other hand will issue a press release that shall in each case be in the form mutually agreed to by the Parties.
(b) In the event that, during the period commencing on the date hereof and ending upon the completion of Closing, any Party or its Affiliates wishes to make any press release or respond to press or other inquiries for information that, in any such case, relates to this Agreement or the Transaction, then it shall use its reasonable efforts to provide the other Parties with a draft thereof in sufficient time prior to the release thereof so that each other Party may review the proposed press release or inquiry response to be released and advise the Party that proposes to make such release or provide such response of any comments that such other Party may have in respect thereto. The foregoing shall not apply when the release or disclosure of any information that relates to this Agreement or the Transaction is required by Applicable Law or by any Governmental Authority, provided that, in each such case, except where prohibited under Applicable Law, the Party who or whose Affiliate is required to make such disclosure shall provide each other Party with details of the nature and substance of such release or disclosure as soon as practicable, but in all cases, prior to any public release thereof. Furthermore, the obligations in this Section 12.3(b) shall not apply to general disclosures or releases of information that a Party or its Affiliate may make from time to time relating to its business or property. Notwithstanding anything to the contrary contained herein, no disclosure shall identify CIC or any of its Affiliates without CIC’s prior written approval.
Announcements and Press Releases. 15.1.1 Contractor shall not at any time, without the prior written consent of Canadian Natural, make any public announcement, or issue any press release, with respect to the Work or this Agreement. If Contractor makes any public announcement or issues any press release without Canadian Natural’s prior written consent it shall be in default and Canadian Natural may, at its sole option, terminate this Agreement immediately upon written notice.
15.1.2 Subject to sub-Section 15.1.1, in no event shall Contractor be entitled to damages or compensation, including but not limited to anticipated profits, directly or indirectly related to termination pursuant to this Article.

If Contractor makes any public announcement or issues any press release without Canadian Natural’s prior written consent it shall be in default and Canadian Natural may, at its sole option, terminate this Agreement immediately upon written notice.
37.1.2 On delivery of the termination notice set out in sub-Section 37.1.1, Canadian Natural shall be relieved of all further obligations under this Agreement except for the payment of the unpaid balance of the Contract Price for Work performed and accepted by Canadian Natural to the date of termination, after deducting Canadian Natural’s additional costs and expenses resulting from said termination.
37.1.3 Subject to sub-Section 37.1.2, in no event shall Contractor be entitled to damages or compensation, including but not limited to anticipated profits, directly or indirectly related to termination pursuant to this Article.

Announcements and Press Releases. The announcement of Benchmark’s acquisition of the Shares will be coordinated between the parties so as to meet Securities Exchange Commission rules and regulations and for mutual public relations benefits to both parties. The Parties will consult with each other prior to issuing any press release or other public statement regarding the proposed transaction. It is strictly understood by the parties that the information contained herein is confidential in nature and that no such public disclosure shall be made by either party of the information or the intended transaction until Closing.
