Annual Business Plans. 7.3.1 The Joint Committee anticipates discharging the obligations of the Councils in relation to the City Deal through a number of projects and in respect of each Accounting Period the Regional Programme Director shall procure the preparation of, and (no later than 90 (ninety) Business Days prior to the envisaged commencement of the relevant Accounting Period) procure the circulation to the Joint Committee of a draft Annual Business Plan in relation to the annual spend for approved project(s) to be implemented in that Accounting Period in relation to the City Deal.
7.3.2 Within 30 (thirty) Business Days of the date of circulation of a draft Annual Business Plan in relation to an Accounting Period a Joint Committee Meeting shall be convened in accordance with Clause 10 (Joint Committee) for the consideration of and (if the Joint Committee so agrees) approval of the draft Annual Business Plan.
7.3.3 The Regional Programme Director shall convene a Joint Committee Meeting in accordance with Clause 10 (Joint Committee) to discuss the continued suitability of an Annual Business Plan and any required amendments thereto on or around the date 30 (thirty) Business Days prior to the envisaged date of commencement of the relevant Accounting Period. Any such amendments must be approved by the Joint Committee pursuant to Clause 7.3.2 in order to become effective.
7.3.4 Where the draft Annual Business Plan circulated under Clause 7.3.1 has not been approved by the Joint Committee by the date six (6) calendar months following the date it is first circulated to the Joint Committee, the matter shall be deemed to be a JC Unresolved Matter and Clause 10.13 (Joint Committee) shall apply.
Annual Business Plans. Promptly after preparation but no later than 30 days after the last day of each fiscal year of Borrower, the annual business plan for the Companies prepared by Borrower, in form reasonably acceptable to Administrative Agent, setting forth management's projections for the next succeeding fiscal year.
Annual Business Plans. (1) The Contractor must develop, for the Town’s approval, a detailed and comprehensive business plan for the Gallery.
(2) The Business Plans must be in a form acceptable and set the direction of the Gallery for the forthcoming year.
Annual Business Plans. JVC shall develop an English version of annual business plan for the Products which shall include, without limitation, promotion strategy and tactics, and sales and other marketing plans ("Business Plan" as defined in Section 1.6 and required by Section 4.6 of the Joint Venture Agreement). Any such Business Plan shall be provided to CBI for prior review and approval, which approval shall not be unreasonably withheld. The Business Plan for the first year of this Agreement shall be provided to CBI within three (3) months after the Effective Date. Thereafter, if requested, Business Plans shall be provided to CBI for review and approval by CBI not later than ninety (90) days before January 1 of the year to which such Business Plan pertains. JVC's Board of Directors shall discuss and update the Business Plan at least once every calendar year.
Annual Business Plans. As soon as available and in any event no --------------------- later than 30 days from the end of each Fiscal Year, the annual Business Plans prepared by management of the Borrower.
Annual Business Plans. An annual business plan (the “Annual Business Plan”) for the Company and Owner shall be mutually developed and approved by the Members. Each Annual Business Plan shall include, as appropriate, the following:
(a) a brief narrative description of any material activity planned to be undertaken;
(b) capital budgets for the Project;
(c) a projected annual income statement (accrual basis) on a month-by-month basis for the Project;
(d) a projection as to the timing and amount of Distributions;
(e) a leasing plan for the Project;
(f) a schedule of total projected operating cash flow for the Project and projected uses of monies in any Reserves on a month-by-month basis, including a schedule of projected negative cash flow for the Project, if any;
(g) a description of any planned Loans for the Company or the Owner; and
(h) a description of any planned construction, capital, FF&E or other personal property expenditures for the Owner, including projected dates for commencement and completion of the foregoing.
Annual Business Plans. (a) The Board of Directors shall prepare and approve by a simple majority of votes an annual business plan in respect of the VSEH Group (the “Group Annual Business Plan”). The DSO Board of Directors and the SalesCo Board of Directors shall also respectively prepare and approve by a simple majority of votes an annual business plan in respect of the DSO and the SalesCo (each the “Individual Annual Business Plan”). The Group Annual Business Plan and each Individual Annual Business Plan shall include, to the extent legally possible:
(i) an operating budget as part of the annual financial plan, including capital expenditures and investment plans;
(ii) cash flow forecasts;
(iii) marketing plans;
(iv) strategic development plans;
(v) human resources plans; and
(vi) dividend plans.
(b) The Group Annual Business Plan, and any amendments thereto, shall be submitted for review and comment by the Supervisory Board prior to its approval by the Board of Directors. Prior to such approval by the Board of Directors, the Board of Directors shall give due consideration to (but shall not be obliged to reflect) any comments or suggestions of the Supervisory Board.
(c) The Parties shall ensure, to the extent legally possible, that any Individual Annual Business Plan shall be in compliance with the Group Annual Business Plan in all material respects.
(d) Each Individual Annual Business Plan, and any amendments thereto, shall be submitted for review and comment by the DSO Supervisory Board or the SalesCo Supervisory Board, as applicable, prior to its approval by the DSO Board of Directors or the SalesCo Board of Directors, as applicable. Prior to such approval, the DSO Board of Directors or the SalesCo Board of Directors, as applicable, shall give due consideration to (but shall not be obliged to reflect) any comments or suggestions of the DSO Supervisory Board or the SalesCo Supervisory Board, as applicable.
Annual Business Plans. The Members agree as follows:
Annual Business Plans. Prior to the Required Service Date, and at least once during each year thereafter during the term of this Agreement, Il Fornaio shall prepare and deliver to MHG an annual business plan and projected statement of Gross Revenues in connection with the services to be performed by Il Fornaio under this Agreement.

19.1 The Initial Annual Business Plan shall apply to the Bus Unit and shall be the Annual Business Plan for the Bus Unit for the period from the Commencement Date until a subsequent Annual Business Plan is finalised in accordance with Schedule 5 (Planning, Reporting and Meetings). The Operator shall comply with and give effect to the Initial Annual Business Plan (including for the avoidance of doubt any plan, initiative or proposal forming part of the Initial Annual Business Plan) at all times during the period specified in this clause 19.1
