Application of Rights. Notwithstanding anything to the contrary provided in connection with the Series A Preferred Shares Registration Rights and the 2027 Convertible Notes Registration Rights, the Company hereby agrees that, the registration rights provided to the Holders pursuant to this Agreement shall not be subordinated or junior to the Series A Preferred Shares Registration Rights and the 2027 Convertible Notes Registration Rights. The Company hereby agrees and covenants to obtain, to the extent not already obtained as of the date hereof, all necessary consents and waivers from the holders of its Series A Preferred Shares (in the form of ADSs) and 2027 Convertible Notes to ensure (A) the enforcement of the registration rights granted herein (including without limitation, the exercise by any Holder of its right to participate in any registration under the Series A Preferred Shares Registration Rights and the 2027 Convertible Notes Registration Rights on a pro rata basis by exercising its piggyback registration rights pursuant to this Agreement); and (B) that the holders of the Series A Preferred Shares (in the form of ADSs) and the 2027 Convertible Notes agree that their right to participate in any registration pursuant to this Agreement will only be on a pro rata basis with the Holders as contemplated herein. The Company represents and warrants to the Holders that other than as described in this Agreement, there are no other registration or similar rights granted by it that may be superior to the registration rights granted to the Holders hereunder as of the Effective Date.
Application of Rights. Reasonable application of these rights shall be made by the parties. Where matters covered in this Agreement are also regulated by outside law, the bargained provisions are interpreted as co-extensive in scope with the outside legal requirements, unless broader coverage is clearly required by the language and bargaining history.

It is agreed that the rules and regulations may cover all aspects of the operation of the casino, including the procedures for dealing the games. It is further agreed that the Employer is entitled to make any changes which may be necessary to comply with the requirements of the British Columbia Lottery Corporation, or any other legislation, policies, directives, or regulations of any level of government which apply to the operation of the casino. It is mutually agreed that the Employer will post copies of any changes to the policies and procedures manual to a bulletin board designated for that purpose for the conduct of employees and issue copies to each shop xxxxxxx and the respective staff representative.

(b) The Employer will post copies of any changes to the policies and procedures manual to a bulletin board designated for that purpose and issue copies to the staff representative when requested.

It is mutually agreed that the Employer will provide a copy of the policies and procedures manual in the break room at each facility for the conduct of employees and file a copy with the Union. Filing with the union office is accomplished by delivery of a copy through registered mail.

Significant Education is solely responsible for the utilization and application of those rights which it secures under this Agreement; however, any use of the name Xxxxxxxxx or Xxx Xxxxxxxxx by Significant Education beyond that use set forth herein may be viewed as a material breach of this Agreement by Significant Education, and could subject this Agreement and the rights granted hereunder to immediate termination.
